1. Introduction

Welcome to XpertOne (“XpertOne,” “Platform,” “we,” “our,” or “us“).

These Terms of Service (“Terms“) constitute a legally binding agreement between XpertOne and every individual or entity that accesses, browses, registers, books, purchases, offers services through, or otherwise uses the website xpertone.in, its related applications, products, features, technologies, software, communications, support services, and any future services operated under the XpertOne brand (collectively, the “Platform“).

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, our Privacy Policy, Refund & Cancellation Policy, Community Guidelines, Cookie Policy, Acceptable Use Policy, Copyright Policy, Expert Verification Policy, KYC & Identity Verification Policy, Session Recording Policy, Security Policy, Child Safety Policy, AI & Automated Decision-Making Notice, and all other policies published by XpertOne, each of which forms an integral part of these Terms.

If you do not agree to these Terms, you must immediately discontinue use of the Platform.

These Terms apply to every visitor, registered User, Expert, applicant, customer, vendor, business entity, organization, representative, affiliate, contractor, or any other person interacting with XpertOne.


2. Definitions

For the purposes of these Terms, unless the context otherwise requires, the following definitions shall apply.

2.1 Platform

“Platform” means XpertOne, including its website, marketplace, software, scheduling systems, payment systems, communication systems, booking infrastructure, future mobile applications, APIs, technologies, and all related services operated under the XpertOne brand.


2.2 XpertOne

“XpertOne” refers to the operator of the Platform that facilitates the discovery, booking, scheduling, payment processing, communication, and management of online expert services.

Unless expressly stated otherwise, references to XpertOne include its owners, administrators, employees, contractors, representatives, successors, permitted assigns, affiliates, and authorized service providers.


2.3 User

A “User” means any individual or entity that:

  • visits the Platform;
  • creates an account;
  • searches for Experts;
  • requests bookings;
  • purchases services;
  • participates in sessions;
  • receives Deliverables; or
  • otherwise uses Platform services.

Users may also be referred to as customers, clients, learners, participants, purchasers, or consumers depending upon the context.


2.4 Expert

An “Expert” means an independent individual approved by XpertOne to publish listings and provide services through the Platform.

Experts are independent service providers.

Experts are not employees, agents, representatives, franchisees, partners, or legal representatives of XpertOne.

Approval as an Expert does not create any employment relationship, partnership, agency, joint venture, fiduciary relationship, or similar legal relationship with XpertOne.


2.5 Expert Applicant

An Expert Applicant means any person who applies to become an Expert, regardless of whether the application is approved or rejected.


2.6 Listing

A Listing means a publicly available service page published by an Expert describing:

  • offered services;
  • category;
  • scope;
  • pricing;
  • duration;
  • deliverables;
  • availability;
  • requirements; and
  • any additional conditions applicable to that service.

2.7 Booking Request

A Booking Request is the request submitted by a User asking an Expert to provide a selected service.

A Booking Request does not create a binding service obligation until accepted in accordance with Platform procedures.


2.8 Booking

A Booking refers to a confirmed appointment after:

  • Expert acceptance;
  • successful payment where required;
  • scheduling completion; and
  • creation of an active order.

2.9 Order

An Order represents the complete commercial transaction between the User and the Expert following successful confirmation of a Booking.


2.10 Learn Services

“Learn” refers to educational sessions where Experts explain concepts, subjects, skills, techniques, tools, or other educational content within the scope described in their Listings.

Learn services may range from answering a single question to explaining an entire topic, depending upon the selected scope.


2.11 Consult Services

“Consult” refers to sessions where an Expert provides guidance, recommendations, opinions, analysis, suggestions, mentoring, strategy discussions, or similar advisory services within the scope described in the applicable Listing.

Consult services assist Users in making informed decisions but do not guarantee any particular outcome.


2.12 Assist Services

“Assist” refers to sessions where an Expert actively assists a User in completing, understanding, solving, reviewing, demonstrating, guiding, or performing a scope-specific task as described in the Listing.

The assistance provided is strictly limited to the scope selected during Booking.


2.13 Scope

“Scope” refers to the specific level of service selected by the User during the booking process.

The Scope defines exactly what the Expert agrees to provide during the booked session.

Services outside the selected Scope are not included unless expressly agreed through the Platform.


2.14 Deliverables

“Deliverables” mean any documents, files, notes, reports, edited content, summaries, screenshots, action plans, guidance materials, or other outputs described in the Listing and provided by the Expert as part of the booked service.

Unless otherwise specified, proof that the scheduled online meeting took place (such as a meeting screenshot or comparable evidence) may form part of the order completion records.


2.15 Session

A Session means the scheduled online meeting conducted between the User and the Expert through the communication infrastructure supported by the Platform.


2.16 Categories

The Platform may organize Listings into one or more service categories, including but not limited to:

  • Education & Learning
  • Career & Professional Growth
  • Technology & Digital Skills
  • Business & Entrepreneurship
  • Finance, Tax & Compliance
  • Legal & Documentation
  • Health, Fitness & Wellness
  • Spirituality & Alternative Guidance
  • Creative Arts, Media & Fashion
  • Communication & Personal Development
  • Relationships & Lifestyle Guidance
  • Productivity & Creator Economy

The categories available on the Platform may change over time. The current availability of categories does not obligate XpertOne to maintain, discontinue, or launch any specific category.


2.17 Content

Content includes text, images, graphics, videos, audio, documents, listings, reviews, ratings, comments, profile information, messages, deliverables, trademarks, logos, software, code, and any other material made available through the Platform.


2.18 Intellectual Property

Intellectual Property includes copyrights, trademarks, patents, trade secrets, confidential information, proprietary algorithms, software, business methods, databases, know-how, designs, branding, source code, object code, scheduling systems, and all other legally protected intellectual property rights.


2.19 Applicable Law

Applicable Law means all laws, rules, regulations, governmental directives, judicial decisions, statutory obligations, and legally binding requirements applicable to the operation of the Platform or to the parties involved.


2.20 Including

Unless expressly stated otherwise, the words “including,” “includes,” and “include” mean “including without limitation.”


2.21 Interpretation

Headings are provided solely for convenience and shall not affect the interpretation of these Terms.

Words in the singular include the plural and vice versa where the context requires.

References to one gender include all genders.

Any ambiguity shall not be interpreted against XpertOne solely because it drafted these Terms.

If any provision of these Terms is held invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

3. Nature of the XpertOne Marketplace

3.1 Technology Marketplace

XpertOne is an online technology marketplace that enables Users to discover, evaluate, book, schedule, communicate with, and purchase online services offered by independent Experts.

The Platform is designed to connect individuals seeking knowledge, consultation, guidance, advice, problem-solving assistance, or other scope-specific services with Experts offering such services through their published Listings.

XpertOne itself does not provide the underlying professional, educational, advisory, consulting, mentoring, assistance, or other Expert services advertised in Listings unless expressly stated otherwise.


3.2 Core Purpose of the Platform

The objective of XpertOne is to provide a centralized marketplace through which Users may obtain assistance from Experts across multiple fields through structured online sessions.

Services available through the Platform may include, but are not limited to:

  • Learning new concepts.
  • Understanding specific topics.
  • Receiving consultation.
  • Obtaining guidance.
  • Comparing available options.
  • Seeking opinions.
  • Receiving mentoring.
  • Solving specific problems.
  • Receiving live assistance.
  • Reviewing work.
  • Improving skills.
  • Completing scope-specific tasks.
  • Receiving personalized guidance.
  • Other lawful services described in Expert Listings.

The exact services available on the Platform may evolve over time.


3.3 Three Primary Service Types

XpertOne currently facilitates three primary booking models.

A. Learn

Learn services enable Users to learn directly from independent Experts.

Depending upon the Listing and selected Scope, Learn sessions may include:

  • Answering individual questions.
  • Explaining concepts.
  • Teaching complete topics.
  • Guided learning.
  • Practical demonstrations.
  • Exam preparation.
  • Skill development.
  • Subject clarification.
  • Professional knowledge sharing.
  • Educational mentoring.

The depth of instruction depends entirely upon the Scope selected by the User during booking.


B. Consult

Consult services enable Users to obtain opinions, suggestions, recommendations, guidance, strategic discussions, mentoring, coaching, advisory support, or other consultation services from Experts.

Consult sessions may assist Users in making informed decisions regarding matters within the Expert’s area of expertise.

However, Consult sessions do not constitute guarantees, warranties, promises, certifications, governmental approvals, or assurances regarding any future outcome.

Users remain solely responsible for evaluating and implementing any advice received.


C. Assist

Assist services enable Experts to provide live assistance within the Scope selected during booking.

Depending upon the applicable Listing, assistance may include:

  • Live guidance.
  • Walkthroughs.
  • Reviewing documents.
  • Troubleshooting.
  • Demonstrations.
  • Step-by-step support.
  • Helping Users perform tasks.
  • Reviewing completed work.
  • Remote instructional assistance.
  • Other lawful assistance described in the Listing.

Assist services remain strictly limited to the Scope selected by the User.


3.4 Scope-Based Marketplace

Every Listing published on XpertOne is Scope-based.

The Scope defines:

  • What service will be provided.
  • The duration of service.
  • The expected Deliverables.
  • The limitations of the session.
  • Any conditions established by the Expert.

Users are responsible for selecting the Scope most appropriate to their needs before submitting a Booking Request.

Experts are not obligated to provide services beyond the selected Scope unless they voluntarily agree through the Platform.


3.5 Deliverables

Certain Listings include Deliverables.

Deliverables vary depending upon:

  • Category.
  • Listing.
  • Selected Scope.
  • Type of service.
  • Expert preferences.

Examples include:

  • Notes.
  • Reports.
  • Session summaries.
  • Action plans.
  • Edited files.
  • Improvement reports.
  • Educational materials.
  • Personalized documents.
  • Other Listing-specific outputs.

Unless otherwise specified, proof that the scheduled session occurred may also form part of the order completion records.


3.6 Independent Experts

Every Expert using XpertOne operates independently.

Experts determine, subject to Platform requirements:

  • Which services to offer.
  • Which categories to serve.
  • Which Listings to publish.
  • Availability.
  • Pricing.
  • Scope.
  • Deliverables.
  • Qualifications presented.
  • Methods of providing lawful services.

XpertOne does not direct the day-to-day professional judgment exercised by Experts during Sessions.


3.7 No Employment Relationship

Nothing contained in these Terms creates an employment relationship between XpertOne and any Expert.

Experts are not:

  • Employees.
  • Workers.
  • Representatives.
  • Agents.
  • Partners.
  • Franchisees.
  • Joint venture participants.
  • Legal representatives of XpertOne.

Experts remain solely responsible for:

  • Their professional conduct.
  • Their services.
  • Their qualifications.
  • Their statements.
  • Their recommendations.
  • Their legal obligations.
  • Their tax obligations.
  • Their licensing obligations.
  • Compliance with laws applicable to their profession.

3.8 No Agency Relationship

Experts have no authority to:

  • Bind XpertOne.
  • Enter contracts on behalf of XpertOne.
  • Make legal commitments for XpertOne.
  • Represent themselves as employees of XpertOne.
  • Represent themselves as official spokespersons for XpertOne.
  • Guarantee Platform decisions.
  • Modify Platform policies.

Similarly, Users are not agents or representatives of XpertOne.


3.9 No Professional Endorsement

Approval of an Expert by XpertOne does not constitute:

  • Government certification.
  • Professional licensing.
  • Accreditation.
  • Endorsement.
  • Warranty.
  • Guarantee.
  • Insurance.
  • Certification of competence.
  • Assurance of future conduct.

Expert verification is an internal marketplace process intended to support marketplace quality and security.


3.10 No Guarantee of Results

Because every Session depends upon numerous factors outside the reasonable control of XpertOne, the Platform does not guarantee:

  • Academic success.
  • Employment.
  • Promotions.
  • Business success.
  • Financial profit.
  • Investment returns.
  • Legal outcomes.
  • Medical outcomes.
  • Technical success.
  • Personal improvement.
  • Spiritual outcomes.
  • Relationship outcomes.
  • Examination performance.
  • Any specific result.

Users are solely responsible for determining whether the services obtained through the Platform are suitable for their own circumstances.


3.11 Platform Services

XpertOne primarily provides technology services, including:

  • User registration.
  • Expert onboarding.
  • Search functionality.
  • Marketplace infrastructure.
  • Listing management.
  • Scheduling.
  • Slot management.
  • Booking workflows.
  • Payment facilitation.
  • Escrow administration.
  • Meeting coordination.
  • Order management.
  • Review systems.
  • Customer support.
  • Security measures.
  • Fraud prevention.
  • Platform administration.

These services facilitate transactions between Users and Experts but do not replace the actual services delivered by Experts.


3.12 Platform Discretion

To maintain the integrity, safety, quality, and lawful operation of the Platform, XpertOne reserves the right, at its sole discretion and subject to applicable law, to:

  • Approve or reject Expert applications.
  • Suspend or remove Listings.
  • Restrict Platform features.
  • Refuse publication of content.
  • Remove unlawful material.
  • Request additional verification.
  • Suspend accounts.
  • Delay payments or payouts.
  • Cancel or restrict bookings where reasonably necessary.
  • Investigate suspected misconduct.
  • Cooperate with competent authorities.
  • Modify Platform functionality.
  • Introduce new operational procedures.

Such actions may be taken where reasonably necessary to protect Users, Experts, XpertOne, or the integrity of the marketplace.


3.13 Marketplace Evolution

XpertOne is a continuously evolving technology platform.

Accordingly, the Platform may, at any time and without creating any obligation to continue existing functionality:

  • Introduce new services.
  • Remove existing services.
  • Launch new categories.
  • Merge categories.
  • Introduce artificial intelligence features.
  • Modify booking workflows.
  • Improve scheduling systems.
  • Introduce additional verification procedures.
  • Expand internationally.
  • Modify payment systems.
  • Improve security measures.
  • Introduce new technologies.
  • Discontinue obsolete features.

Such changes are intended to improve the Platform and may be implemented in accordance with applicable law and updated Platform policies.


3.14 Reservation of Rights

Except where prohibited by applicable law, XpertOne retains full discretion over the design, operation, administration, security, technical architecture, marketplace rules, scheduling systems, verification procedures, and overall management of the Platform.

Nothing contained in these Terms shall be interpreted as granting any User or Expert ownership, control, or vested right in the continued availability of any specific Platform feature, technology, workflow, category, interface, algorithm, or operational process.

4. Eligibility, Account Registration, User Accounts, and Expert Accounts

4.1 Eligibility to Use the Platform

Access to and use of XpertOne is available only to persons who are legally capable of entering into binding contracts under the laws applicable to them.

By creating an account or using the Platform, you represent and warrant that:

  • You have the legal capacity to enter into these Terms.
  • All information you provide is true, accurate, current, and complete.
  • You will promptly update information if it changes.
  • Your use of the Platform does not violate any applicable law, regulation, court order, contractual obligation, or professional restriction.
  • You will use the Platform only for lawful purposes.

XpertOne may require additional eligibility verification at any time.


4.2 Minimum Age Requirement

The Platform is intended for individuals who have reached the age at which they may lawfully use online services and enter into legally binding agreements under applicable law.

If you are below the age required by applicable law, you may use the Platform only through a parent, legal guardian, or other legally authorized representative who accepts full responsibility for your use of the Platform.

XpertOne reserves the right to request proof of age where reasonably necessary.


4.3 Restricted Users

You may not use XpertOne if:

  • Your account has been permanently suspended or terminated.
  • You are prohibited from using the Platform under applicable law.
  • You attempt to create an account on behalf of another person without lawful authority.
  • You impersonate another individual or organization.
  • You use false identity documents.
  • You attempt to bypass Platform restrictions.
  • Your use presents an unreasonable legal, security, financial, or operational risk to XpertOne or other users.

4.4 User Registration

To book any service on XpertOne, every User must create an account.

Guest bookings are not permitted.

Registration currently requires successful verification of the email address provided during account creation.

Only after successful verification may the User access booking functionality.

XpertOne reserves the right to introduce additional verification methods in the future, including but not limited to:

  • Mobile number verification.
  • Identity verification.
  • Multi-factor authentication.
  • Government ID verification.
  • Biometric verification where legally permissible.
  • Security verification procedures.

4.5 User Account Information

During registration or while using the Platform, Users may be required to provide information including:

  • Full name.
  • Email address.
  • Profile information.
  • Contact information.
  • Booking preferences.
  • Other information reasonably required for operation of the Platform.

Users agree that the information provided shall remain accurate and up to date.

Providing false, misleading, or fraudulent information may result in suspension or termination of the account.


4.6 Username

XpertOne may automatically generate usernames based upon internal Platform logic.

Users may not acquire ownership rights over usernames assigned by the Platform.

XpertOne reserves the right to modify, replace, reclaim, or reassign usernames where reasonably necessary for:

  • Security.
  • Operational consistency.
  • Prevention of impersonation.
  • Trademark protection.
  • Technical administration.
  • Compliance with applicable law.

4.7 Password Security

Users are responsible for maintaining the confidentiality of their account credentials.

Although XpertOne may encourage the use of strong passwords, the User remains solely responsible for selecting an appropriate password.

Users agree to:

  • Keep passwords confidential.
  • Avoid sharing login credentials.
  • Protect access to their devices.
  • Immediately notify XpertOne of suspected unauthorized access.
  • Log out from shared or public devices.

XpertOne shall not be responsible for losses resulting from a User’s failure to adequately protect account credentials.


4.8 One Account Per Person

Unless expressly authorized by XpertOne, each individual may maintain only one User account.

Creating multiple accounts for the purpose of:

  • Circumventing Platform restrictions.
  • Manipulating reviews.
  • Evading suspensions.
  • Obtaining duplicate promotional benefits.
  • Engaging in fraudulent conduct.

is strictly prohibited.


4.9 User Responsibilities

Users remain solely responsible for:

  • Activities conducted through their accounts.
  • Booking decisions.
  • Information submitted.
  • Communications with Experts.
  • Compliance with applicable law.
  • Maintaining accurate account information.
  • Protecting login credentials.
  • Reviewing Listing details before booking.

4.10 Becoming an Expert

Users wishing to provide services through XpertOne must successfully complete the Expert onboarding process.

Submission of an application does not guarantee approval.

XpertOne reserves complete discretion regarding approval or rejection of Expert applications.


4.11 Expert Application Process

The onboarding process may include one or more of the following stages:

  • Submission of an application.
  • Selection of intended service categories.
  • Submission of required documentation.
  • Identity verification.
  • Qualification review.
  • Experience review.
  • Scheduling of an onboarding interview.
  • Technical verification.
  • Compliance review.
  • Final approval decision.

The exact onboarding process may change over time.


4.12 Expert Interview

As part of the onboarding process, XpertOne may conduct an interview to evaluate whether an applicant possesses the knowledge, communication ability, and competency reasonably necessary for the categories and services they intend to provide.

The interview may include:

  • Questions relating to the selected category.
  • Practical discussions.
  • Demonstrations of knowledge.
  • Professional background review.
  • Experience verification.
  • Communication assessment.
  • Other evaluation methods considered appropriate by XpertOne.

The interview process is intended solely as an internal marketplace assessment and does not constitute professional certification or licensing.


4.13 Approval or Rejection

Following review of the application, XpertOne may:

  • Approve the application.
  • Reject the application.
  • Request additional information.
  • Request additional documentation.
  • Require another interview.
  • Delay a decision pending further review.

XpertOne is not obligated to approve every application.

Approval decisions remain entirely within the discretion of XpertOne, subject to applicable law.


4.14 Reapplication

An applicant whose application has been rejected may submit a fresh application in the future.

Reapplication does not guarantee approval.

A subsequent application may require completion of a new onboarding process, including another interview and updated verification.


4.15 Expert Credentials

Experts are responsible for ensuring that all qualifications, experience, certifications, licenses, registrations, achievements, and other credentials presented to XpertOne or published on the Platform are truthful, accurate, current, and not misleading.

Submission of forged, altered, expired, misleading, or fraudulent documentation may result in immediate rejection, suspension, permanent removal, reporting to competent authorities where appropriate, and any other action permitted by applicable law.


4.16 Verification Documents

Depending upon the category and services offered, XpertOne may request one or more documents including, where applicable:

  • Aadhaar.
  • PAN.
  • Passport.
  • Driving Licence.
  • Educational qualifications.
  • Professional certificates.
  • Professional licences.
  • Experience records.
  • Business registrations.
  • Tax registrations.
  • Bank account verification.
  • Cancelled cheque.
  • Bank passbook.
  • UPI verification.
  • Identity photographs.
  • Selfies.
  • Address verification.
  • Any additional documentation reasonably required to verify identity, qualifications, or lawful operation.

The documents requested may vary depending upon the nature of the services offered and the category selected by the applicant.


4.17 No Mandatory Degree Requirement

XpertOne recognizes that expertise may arise through formal education, practical experience, self-learning, professional practice, vocational training, entrepreneurship, research, or other legitimate means.

Accordingly, approval as an Expert does not necessarily require possession of a formal academic degree unless such qualification is legally required for the services offered.

Where appropriate, XpertOne may evaluate an applicant based upon demonstrated knowledge, practical ability, experience, communication skills, interview performance, and other relevant factors.


4.18 Expert Login Credentials

Upon approval, XpertOne may issue or activate Expert account access credentials.

Such credentials remain the property of XpertOne for purposes of Platform administration.

Experts receive a limited, revocable, non-transferable right to use their accounts solely for operating on the Platform in accordance with these Terms.

Experts shall not sell, transfer, assign, rent, sublicense, or otherwise permit third parties to use their Expert accounts.


4.19 Account Security

Both Users and Experts are responsible for maintaining the security of their accounts.

If any person becomes aware of:

  • Unauthorized access.
  • Credential compromise.
  • Identity theft.
  • Suspicious login activity.
  • Security incidents.

they must promptly notify XpertOne so that appropriate security measures may be implemented.


4.20 Reservation of Rights

To protect Users, Experts, and the Platform, XpertOne reserves the right, at any time and in its reasonable discretion, to:

  • Request updated account information.
  • Require additional verification.
  • Suspend registrations.
  • Restrict account functionality.
  • Reject applications.
  • Refuse account creation.
  • Require identity confirmation.
  • Investigate suspicious activity.
  • Merge duplicate accounts.
  • Remove fraudulent accounts.
  • Disable compromised accounts.
  • Take any other reasonable administrative action necessary to maintain the safety, integrity, and lawful operation of the Platform.

Nothing in this Section shall obligate XpertOne to approve, maintain, or continue any particular account where doing so would conflict with applicable law, Platform security, or legitimate operational requirements.

5. Expert Verification, KYC, Listings, Compliance, and Ongoing Obligations

5.1 Purpose of Expert Verification

To promote trust, marketplace integrity, and user confidence, XpertOne operates an internal Expert verification and onboarding process.

The purpose of verification is to reasonably assess the identity, eligibility, competency, and authenticity of Expert applicants before they are permitted to publish Listings on the Platform.

Expert verification is an internal marketplace process only.

Verification by XpertOne does not constitute:

  • Government certification.
  • Professional licensing.
  • Accreditation.
  • Legal endorsement.
  • Employment.
  • Partnership.
  • Agency.
  • Warranty.
  • Guarantee of competency.
  • Guarantee of future conduct.
  • Guarantee of service quality.
  • Assurance of legal compliance.

Users remain responsible for independently evaluating whether an Expert’s services are suitable for their own needs.


5.2 Identity Verification

As part of onboarding or at any later stage, XpertOne may request information reasonably necessary to verify an Expert’s identity.

Identity verification may include one or more of the following:

  • Full legal name.
  • Date of birth where required.
  • Photograph.
  • Government-issued identification.
  • Address verification.
  • Mobile verification.
  • Email verification.
  • Bank verification.
  • Live identity verification.
  • Video verification.
  • Additional authentication measures.

Experts agree to cooperate with reasonable identity verification requests.


5.3 KYC Verification

Where considered necessary by XpertOne or required under applicable law, Experts may be required to complete Know Your Customer (“KYC”) verification.

KYC procedures may include verification of:

  • Identity.
  • Address.
  • Banking details.
  • Tax information.
  • Business information.
  • Professional credentials.
  • Other information reasonably necessary for compliance, fraud prevention, or Platform security.

Failure to complete required KYC procedures may result in delayed onboarding, suspension of services, temporary payout restrictions, or removal from the Platform.


5.4 Professional Qualifications

Depending upon the category selected, XpertOne may request evidence relating to:

  • Educational qualifications.
  • Professional certifications.
  • Licences.
  • Registrations.
  • Employment history.
  • Professional experience.
  • Portfolio.
  • Publications.
  • Awards.
  • Training.
  • Membership of recognized professional bodies.
  • Other supporting documentation.

  • Mentoring.
  • Creative work.
  • Vocational training.
  • Demonstrated skill.

Accordingly, the absence of a formal academic qualification does not automatically disqualify an applicant unless applicable law requires such qualification for the services offered.

Approval decisions may consider the overall credibility of the applicant, including interview performance and practical knowledge.


5.6 Category-Specific Requirements

Verification requirements may differ depending upon the category in which an Expert intends to provide services.

Certain categories may require:

  • Professional licences.
  • Regulatory registrations.
  • Specialized certifications.
  • Additional interviews.
  • Additional documentation.
  • Enhanced compliance reviews.

Experts are responsible for ensuring that they satisfy all legal requirements applicable to the services they provide.


5.7 Continuing Verification

Approval as an Expert is not permanent.

XpertOne may require Experts to undergo periodic or event-based re-verification.

Re-verification may occur where:

  • Identification documents expire.
  • Banking information changes.
  • Categories change.
  • Regulatory requirements change.
  • Fraud concerns arise.
  • Security concerns arise.
  • Complaints are received.
  • Material account changes occur.
  • Platform policies evolve.

Failure to cooperate with reasonable re-verification requests may result in temporary suspension or permanent removal from the Platform.


5.8 Duty to Maintain Accurate Information

Experts must promptly update information whenever there is a material change relating to:

  • Name.
  • Contact information.
  • Qualifications.
  • Licences.
  • Certifications.
  • Business information.
  • Banking details.
  • Tax information.
  • Legal status.
  • Regulatory approvals.
  • Other material information relevant to the services provided.

Knowingly maintaining inaccurate or outdated information constitutes a violation of these Terms.


5.9 Truthfulness of Listings

Experts represent and warrant that every Listing published through XpertOne is:

  • Truthful.
  • Accurate.
  • Complete.
  • Current.
  • Lawful.
  • Not misleading.
  • Not deceptive.

Experts shall not publish Listings containing:

  • False qualifications.
  • Fabricated experience.
  • Misleading guarantees.
  • Fake testimonials.
  • Unauthorized trademarks.
  • False affiliations.
  • False government approvals.
  • False certifications.
  • Misleading pricing.
  • Hidden conditions.
  • Unlawful claims.

Experts remain solely responsible for the content they publish.


5.10 Scope Accuracy

Each Listing must clearly describe:

  • The service being offered.
  • Scope of work.
  • Session duration.
  • Deliverables.
  • Limitations.
  • Requirements.
  • Any prerequisites.
  • Any exclusions.

Experts may not intentionally advertise broader services than they actually intend to provide.

Users should be able to understand the reasonable scope of a booked service before submitting a Booking Request.


5.11 Deliverable Accuracy

Experts shall accurately describe Deliverables offered within each Listing.

Deliverables should reasonably correspond to:

  • The selected Scope.
  • The advertised service.
  • The duration of the session.
  • The category involved.

Experts should not advertise Deliverables that they do not genuinely intend or reasonably expect to provide.


5.12 Pricing Integrity

Experts are responsible for publishing accurate pricing.

Experts shall not intentionally manipulate prices through deceptive practices including:

  • Artificial price inflation.
  • Hidden charges.
  • Misleading discounts.
  • False promotional pricing.
  • Circumvention of Platform pricing systems.

All pricing remains subject to applicable Platform policies and applicable law.


5.13 Professional Conduct

Experts agree to conduct themselves professionally during all interactions with Users.

Experts shall:

  • Communicate respectfully.
  • Provide services honestly.
  • Avoid abusive conduct.
  • Respect User privacy.
  • Maintain confidentiality where appropriate.
  • Avoid discriminatory conduct.
  • Refrain from harassment.
  • Refrain from fraudulent conduct.
  • Comply with applicable law.

Professional disagreements do not justify abusive or unlawful behaviour.


5.14 Compliance with Laws

Experts remain solely responsible for ensuring that the services they provide comply with all laws applicable to them, including laws relating to:

  • Professional practice.
  • Consumer protection.
  • Taxation.
  • Intellectual property.
  • Privacy.
  • Data protection.
  • Financial regulations.
  • Export controls.
  • Professional licensing.
  • Advertising.
  • Any other applicable legal requirements.

Nothing in these Terms transfers legal compliance obligations from the Expert to XpertOne.


5.15 Platform Audits

To protect marketplace integrity, XpertOne reserves the right to conduct reasonable compliance reviews of Expert accounts.

Such reviews may include examination of:

  • Listings.
  • Verification information.
  • Complaint history.
  • Booking activity.
  • Public profile information.
  • Uploaded documents.
  • Compliance records.
  • Other information reasonably necessary for Platform administration.

Audits are intended solely for marketplace administration and do not constitute regulatory inspections.


5.16 Requests for Additional Information

At any time, XpertOne may request additional documentation or clarification where reasonably necessary for:

  • Identity verification.
  • Fraud prevention.
  • Security.
  • Regulatory compliance.
  • Investigation of complaints.
  • Review of suspicious activity.
  • Operational administration.

Experts agree to cooperate with such reasonable requests within the time specified by XpertOne.


5.17 Suspension Pending Review

Where XpertOne reasonably believes additional review is necessary, it may temporarily:

  • Hide Listings.
  • Suspend Bookings.
  • Delay payouts.
  • Restrict account functionality.
  • Pause onboarding.
  • Require additional verification.
  • Suspend the Expert account.

Temporary suspension does not necessarily imply wrongdoing.

Such measures may remain in place until the relevant review has concluded.


5.18 Removal of Experts

Without limiting any other rights available under these Terms or applicable law, XpertOne may suspend or permanently remove an Expert from the Platform where it reasonably determines that the Expert has:

  • Submitted fraudulent documentation.
  • Misrepresented qualifications.
  • Violated applicable law.
  • Violated these Terms.
  • Engaged in repeated misconduct.
  • Abused Users.
  • Circumvented Platform policies.
  • Attempted payment circumvention.
  • Engaged in fraudulent activity.
  • Repeatedly failed to provide booked services.
  • Created unacceptable legal or security risks.

Removal from the Platform does not affect any rights or obligations arising before the date of removal.


5.19 No Right to Approval or Continued Access

Submission of an application, successful verification, publication of Listings, or previous approval does not create any contractual right to:

  • Permanent approval.
  • Continued publication of Listings.
  • Continued access to the Platform.
  • Future bookings.
  • Guaranteed visibility.
  • Guaranteed search ranking.
  • Guaranteed revenue.
  • Guaranteed Expert status.

Access to the Platform remains subject to continued compliance with these Terms, Platform policies, and applicable law.


5.20 Reservation of Verification Rights

XpertOne reserves the right, at any time and in its reasonable discretion, to modify, expand, reduce, suspend, replace, or enhance its verification procedures, KYC requirements, interview processes, documentation standards, category-specific requirements, audit mechanisms, and compliance reviews as necessary to protect Users, Experts, the Platform, and to comply with evolving legal, regulatory, operational, or security requirements.

Nothing in this Section shall be interpreted as limiting XpertOne’s right to take reasonable administrative action to maintain the integrity, safety, and lawful operation of the Platform.

6. Listings, Search, Discovery, Booking Workflow, Scheduling System, Slot Rolling, and Slot Shifting

6.1 Marketplace Listings

Services available on XpertOne are presented through individual Listings created and maintained by independent Experts.

Each Listing is intended to provide Users with sufficient information to make an informed booking decision.

A Listing may include, where applicable:

  • Service title.
  • Category.
  • Sub-category.
  • Description.
  • Scope options.
  • Session duration.
  • Deliverables.
  • Pricing.
  • Expert profile.
  • Languages supported.
  • Availability.
  • Booking requirements.
  • Instructions.
  • Additional conditions established by the Expert.

Experts remain solely responsible for ensuring the accuracy of their Listings.


6.2 Search and Discovery

XpertOne provides various methods for Users to discover Experts and Listings.

Users may locate Listings by:

  • Browsing categories.
  • Browsing sub-categories.
  • Using Platform search.
  • Filtering available services.
  • Viewing Expert profiles.
  • Reviewing recommendations.
  • Using future discovery tools introduced by XpertOne.

Search results are generated through automated systems and may consider numerous factors including, where applicable:

  • Category relevance.
  • Keywords.
  • Listing completeness.
  • Availability.
  • Scheduling.
  • User preferences.
  • Platform quality signals.
  • Operational requirements.
  • Technical factors.
  • Future ranking systems.

XpertOne does not guarantee any particular search ranking, visibility, recommendation, or placement for any Expert or Listing.


6.3 Categories

The Platform currently supports multiple marketplace categories and may continue expanding over time.

At launch, only selected categories may be available for bookings.

Additional categories may be introduced, modified, merged, renamed, expanded, restricted, or discontinued at XpertOne’s discretion.

The existence of a category does not guarantee that Experts or services will always be available within that category.


6.4 Listing Availability

Listings remain visible only while they satisfy Platform requirements.

XpertOne may temporarily or permanently:

  • Hide Listings.
  • Suspend Listings.
  • Remove Listings.
  • Edit Listing presentation.
  • Restrict visibility.
  • Require modifications.
  • Request additional information.

Such actions may occur where reasonably necessary to maintain Platform quality, legal compliance, security, marketplace integrity, or operational efficiency.


6.5 Scope Selection

Each Listing may offer one or more Scope options.

The Scope selected by the User defines:

  • The services included.
  • Expected session objectives.
  • Time allocated.
  • Deliverables.
  • Applicable pricing.
  • Any limitations or exclusions.

Experts are not obligated to provide services beyond the Scope selected unless both parties agree through functionality provided by the Platform.

Users are responsible for carefully reviewing Scope details before submitting a Booking Request.


6.6 Deliverable Selection

Where a Listing offers optional Deliverables, Users may select the Deliverable applicable to their booking.

Deliverables are determined by the Expert’s Listing and may include:

  • Notes.
  • Reports.
  • Edited documents.
  • Feedback.
  • Action plans.
  • Personalized recommendations.
  • Session summaries.
  • Other Listing-specific materials.

A record reasonably demonstrating that the scheduled session took place, such as a meeting screenshot or comparable evidence, may form part of the order completion process.


6.7 Booking Workflow

The standard booking workflow generally operates as follows:

  1. The User discovers a suitable Listing.
  2. The User reviews the Listing.
  3. The User selects an available booking date.
  4. The User selects an available session time.
  5. The User selects the desired Scope.
  6. The User selects available Deliverables, where applicable.
  7. The User submits a Booking Request.
  8. The Expert reviews the request.
  9. The Expert may accept or reject the request.
  10. If accepted, the User completes payment through the Platform.
  11. The booking becomes a confirmed Order.
  12. Session access information becomes available in accordance with Platform procedures.
  13. The Expert conducts the booked Session.
  14. The Expert provides applicable Deliverables.
  15. The User reviews the completed service.
  16. The User marks the Order as completed through the Platform where applicable.
  17. The Expert becomes eligible for payout in accordance with Platform policies.

The precise workflow may evolve as new Platform features are introduced.


6.8 Booking Requests

Submission of a Booking Request does not create a binding agreement requiring the Expert to provide the requested service.

Until accepted by the Expert and confirmed in accordance with Platform procedures, a Booking Request remains only a request.

Experts retain discretion regarding acceptance or rejection of Booking Requests, subject to applicable law and Platform policies.


6.9 Acceptance of Booking Requests

Experts should accept Booking Requests only where they reasonably believe they can:

  • Perform the requested service.
  • Meet the selected Scope.
  • Attend the scheduled session.
  • Deliver applicable Deliverables.
  • Comply with applicable law.

Acceptance of a Booking Request creates the expectation that the Expert will perform the booked service in accordance with the applicable Listing.


6.10 Rejection of Booking Requests

Experts may reject Booking Requests for legitimate reasons including, without limitation:

  • Scheduling conflicts.
  • Insufficient availability.
  • Scope mismatch.
  • Technical limitations.
  • Capacity limitations.
  • Safety concerns.
  • Compliance concerns.
  • Other reasonable business considerations.

Repeated rejection of Booking Requests may be reviewed by XpertOne for marketplace quality purposes.


6.11 Scheduling System

XpertOne provides scheduling infrastructure designed to assist Experts in managing appointment availability across their Listings.

Scheduling tools are intended to reduce conflicts, improve booking efficiency, and enhance User experience.

Experts remain responsible for maintaining accurate availability.


6.12 Slot Rolling Technology

XpertOne utilizes a proprietary scheduling mechanism referred to as Slot Rolling.

Slot Rolling is intended to dynamically adjust available booking opportunities based upon factors including:

  • Existing bookings.
  • Remaining availability.
  • Current time.
  • Session duration.
  • Scheduling continuity.
  • Operational efficiency.
  • Other Platform scheduling parameters.

The objective of Slot Rolling is to maximize efficient use of available booking time while reducing scheduling conflicts.

The exact operation of Slot Rolling constitutes confidential proprietary technology belonging exclusively to XpertOne.

XpertOne may modify, enhance, suspend, replace, or discontinue Slot Rolling at any time without prior notice.


6.13 Slot Shifting Technology

XpertOne also utilizes a proprietary scheduling mechanism referred to as Slot Shifting.

Slot Shifting dynamically adjusts available appointment times to accommodate confirmed bookings, changes in availability, scheduling continuity, operational efficiency, and other scheduling considerations.

The objective of Slot Shifting is to reduce unnecessary scheduling gaps and improve overall marketplace efficiency.

The algorithms, methodologies, logic, calculations, software implementation, and operational rules governing Slot Shifting constitute proprietary confidential intellectual property of XpertOne.

Users and Experts receive no ownership rights in such technology.


6.14 Scheduling Changes

Available appointment times displayed on the Platform may change without prior notice due to:

  • Confirmed bookings.
  • Booking cancellations.
  • Expert availability updates.
  • Scheduling optimization.
  • Technical maintenance.
  • Time zone adjustments.
  • Platform improvements.
  • Operational requirements.

The availability displayed at one moment does not guarantee continued availability until a Booking has been confirmed.


6.15 Session Time

Users and Experts are responsible for joining scheduled sessions at the agreed booking time.

Failure to attend a scheduled session may affect cancellation rights, refund eligibility, payout eligibility, or other Platform processes in accordance with applicable policies.


6.16 Group Sessions

Where an Expert expressly offers group sessions, participation is limited to persons who have lawfully obtained access through the Platform or have otherwise been authorized by the Expert in accordance with Platform policies.

Unauthorized participation in group sessions is prohibited.


6.17 Unauthorized Sharing

Meeting access information, booking credentials, session links, or other restricted booking information should not be intentionally distributed to unauthorized persons.

If XpertOne reasonably believes meeting access has been shared in violation of these Terms, XpertOne may:

  • Suspend affected accounts.
  • Cancel bookings.
  • Restrict future bookings.
  • Delay payouts.
  • Investigate misuse.
  • Take any other reasonable administrative action permitted by applicable law.

6.18 Booking Integrity

Users and Experts shall not manipulate the booking system by:

  • Creating fictitious bookings.
  • Coordinating fraudulent bookings.
  • Artificially inflating booking statistics.
  • Circumventing Platform workflows.
  • Booking solely to influence reviews.
  • Creating duplicate transactions.
  • Interfering with scheduling systems.
  • Attempting to reverse engineer scheduling algorithms.

Such conduct may result in suspension, removal from the Platform, forfeiture of promotional benefits, administrative action, or legal remedies where permitted by applicable law.


6.19 Reservation of Scheduling Rights

To improve efficiency, security, reliability, and marketplace operations, XpertOne reserves the right to modify, redesign, optimize, replace, automate, suspend, or discontinue any aspect of its booking workflow, scheduling systems, Slot Rolling technology, Slot Shifting technology, availability management, search systems, recommendation systems, appointment infrastructure, and related Platform functionality at any time.

Nothing contained in these Terms grants any User or Expert ownership of, access to, or rights in XpertOne’s proprietary scheduling algorithms, business methods, software logic, operational rules, or marketplace technologies.

7. Sessions, Communications, Meeting Rules, Deliverables, Reviews, and Order Completion

7.1 Scheduled Sessions

A Session is the scheduled online interaction between the User and the Expert following confirmation of a Booking.

Sessions are conducted solely for the Scope selected by the User and accepted by the Expert.

Neither party shall reasonably expect services beyond the selected Scope unless expressly agreed through functionality provided by XpertOne.


7.2 Nature of the Session

The primary purpose of every Session is to enable the Expert to provide the service described in the applicable Listing.

Depending upon the selected Listing, a Session may include:

  • Teaching.
  • Guidance.
  • Consultation.
  • Demonstrations.
  • Mentoring.
  • Assistance.
  • Reviews.
  • Discussions.
  • Live troubleshooting.
  • Practical instruction.
  • Strategy sessions.
  • Scope-specific services.

Each Session is unique and depends upon the interaction between the User and the Expert.


7.3 Platform Role During Sessions

Once a Session begins, it becomes a private interaction between the participating User and Expert (or authorized participants in an approved group Session).

Except where required by law, necessary for Platform operations, or expressly disclosed in advance, XpertOne does not routinely:

  • Join Sessions.
  • Monitor conversations.
  • Participate in discussions.
  • Direct the Expert.
  • Supervise the User.
  • Evaluate professional opinions in real time.
  • Control communications between participants.

The conduct and communications occurring during a Session remain the responsibility of the participating individuals.


7.4 Communication Standards

Users and Experts shall communicate respectfully, honestly, and professionally.

Participants shall not engage in conduct including, but not limited to:

  • Harassment.
  • Abuse.
  • Threats.
  • Hate speech.
  • Discrimination.
  • Defamation.
  • Intimidation.
  • Blackmail.
  • Fraud.
  • Extortion.
  • Sexual harassment.
  • Obscene conduct.
  • Criminal activity.
  • Unlawful solicitation.
  • Deliberate disruption of Sessions.

Repeated or serious violations may result in suspension or permanent removal from the Platform.


7.5 Session Preparation

Users are responsible for:

  • Booking an appropriate Scope.
  • Joining on time.
  • Maintaining a suitable internet connection.
  • Using compatible devices.
  • Reviewing the Listing before the Session.
  • Providing information reasonably necessary for the Expert to perform the booked service.

Experts are responsible for:

  • Attending accepted Bookings.
  • Preparing for the selected Scope.
  • Providing services honestly and professionally.
  • Delivering applicable Deliverables where required.
  • Communicating professionally throughout the Session.

7.6 Technical Issues

Both Users and Experts acknowledge that online Sessions depend upon factors outside XpertOne’s reasonable control, including:

  • Internet connectivity.
  • Power interruptions.
  • Device failures.
  • Browser compatibility.
  • Network congestion.
  • Software compatibility.
  • Hardware malfunction.
  • Service interruptions.

XpertOne does not guarantee uninterrupted availability of online communication services.

Where technical issues occur, the parties are encouraged to cooperate in good faith to complete the Session where reasonably possible.


7.7 Session Recordings

Participants acknowledge that Sessions may be recorded by any participant where permitted by applicable law.

By joining a Session through XpertOne, Users and Experts acknowledge that another participant may choose to record the Session.

Each participant remains solely responsible for ensuring that any recording complies with all laws applicable to them, including privacy, confidentiality, intellectual property, employment, and data protection laws.

XpertOne is not responsible for recordings independently created by Users or Experts.


7.8 Platform Recording

As of the Effective Date of these Terms, XpertOne does not routinely create or maintain recordings of private Sessions conducted between Users and Experts.

However, XpertOne reserves the right to introduce recording functionality, quality assurance systems, safety tools, moderation technologies, or similar features in the future where reasonably necessary for:

  • User safety.
  • Fraud prevention.
  • Quality assurance.
  • Dispute resolution.
  • Regulatory compliance.
  • Platform security.
  • Service improvement.

Any such changes shall be governed by the applicable Platform policies then in effect.


7.9 Confidentiality During Sessions

Participants should exercise reasonable care before voluntarily sharing:

  • Government identification numbers.
  • Banking credentials.
  • Passwords.
  • One-time passwords (OTPs).
  • Medical records.
  • Confidential business information.
  • Proprietary source code.
  • Trade secrets.
  • Personal financial information.
  • Other sensitive information.

XpertOne cannot control how voluntarily disclosed information may subsequently be used by another participant.

Each participant remains responsible for deciding what information they disclose during a Session.


7.10 Deliverables

Where a Listing includes Deliverables, the Expert shall use reasonable efforts to provide the Deliverables described in the applicable Listing.

Deliverables may include:

  • Notes.
  • Reports.
  • Session summaries.
  • Action plans.
  • Feedback.
  • Edited files.
  • Educational materials.
  • Personalized documents.
  • Other Listing-specific outputs.

The exact Deliverables are determined by the Listing and the Scope selected by the User.


7.11 Proof of Session

For administrative, operational, dispute resolution, fraud prevention, and order completion purposes, reasonable evidence that a Session occurred may be maintained.

Such evidence may include, where applicable:

  • Session timestamps.
  • Booking records.
  • Attendance records.
  • System logs.
  • Order history.
  • Confirmation records.
  • Meeting screenshots.
  • Other operational evidence.

Such records may be used to administer the Platform and resolve disputes.


7.12 Use of Deliverables

Unless otherwise expressly permitted by the Expert or required by applicable law, Deliverables are provided solely for the personal use of the purchasing User.

Users shall not, without appropriate authorization:

  • Sell Deliverables.
  • Redistribute Deliverables.
  • Publish Deliverables.
  • Upload Deliverables to public websites.
  • Commercially exploit Deliverables.
  • Remove copyright notices.
  • Misrepresent authorship.

Any unauthorized use may result in account suspension, legal action, or other remedies available under applicable law.


7.13 Session Recordings and Public Distribution

Session recordings, screenshots, audio recordings, video recordings, chat messages, Deliverables, personal information, confidential communications, or other Session-related materials shall not be publicly distributed, published, uploaded, streamed, broadcast, or otherwise disclosed without appropriate legal authority or permission from the relevant rights holder where required by applicable law.

This restriction includes, without limitation:

  • Social media platforms.
  • Video sharing platforms.
  • Public forums.
  • Messaging channels with public access.
  • Community platforms.
  • Websites.
  • Mobile applications.
  • Future digital platforms.

Unauthorized disclosure may result in:

  • Immediate suspension.
  • Permanent account termination.
  • Removal of content where possible.
  • Civil legal proceedings.
  • Criminal complaints where applicable.
  • Claims for damages.
  • Cooperation with competent authorities.

Nothing in this Section limits any rights or remedies available under applicable law.


7.14 Reviews and Ratings

After completion of an Order, Users may be provided with an opportunity to submit reviews and ratings relating to their experience.

Reviews should be:

  • Honest.
  • Accurate.
  • Relevant.
  • Respectful.
  • Based upon actual experience.

Reviews shall not contain:

  • Defamatory statements.
  • False allegations.
  • Hate speech.
  • Illegal content.
  • Personal attacks unrelated to the service.
  • Confidential information.
  • Threats.
  • Extortion attempts.

XpertOne reserves the right, but not the obligation, to review, moderate, remove, or restrict reviews that violate these Terms or applicable law.


7.15 Completion of Orders

An Order is generally considered completed after the applicable Platform workflow has been satisfied, which may include:

  • Completion of the Session.
  • Submission of Deliverables where applicable.
  • User confirmation through the Platform.
  • Other operational requirements established by XpertOne.

Completion of an Order may make the Expert eligible for payout in accordance with the applicable payout policies.


7.16 Disputes Concerning Sessions

If either party believes that a Session was affected by misconduct, fraud, non-performance, abuse, or another significant issue, they should promptly report the matter to XpertOne together with any available supporting evidence.

Supporting evidence may include:

  • Screenshots.
  • Booking references.
  • Communications.
  • Session recordings where lawfully created.
  • Payment references.
  • Other relevant information.

XpertOne may review available evidence and take administrative action where appropriate.

However, XpertOne is not a court, arbitrator, law enforcement agency, or legal representative of either party.


7.17 Platform Assistance

Where reasonably appropriate, XpertOne may assist Users and Experts by:

  • Reviewing Platform records.
  • Reviewing booking history.
  • Reviewing operational logs.
  • Reviewing submitted evidence.
  • Facilitating communication.
  • Cooperating with competent authorities where legally required.

XpertOne does not guarantee that every dispute can be resolved to the satisfaction of either party.


7.18 Reservation of Rights

To protect the integrity, safety, and lawful operation of the Platform, XpertOne reserves the right to establish, modify, suspend, replace, or discontinue Session procedures, communication tools, review systems, order completion workflows, Deliverable processes, moderation practices, and related operational requirements at any time, subject to applicable law.

Nothing in this Section limits XpertOne’s right to investigate misconduct, suspend accounts, delay payouts, preserve evidence, cooperate with competent authorities, or take other reasonable administrative action where necessary to protect Users, Experts, or the Platform.

8. Payments, Escrow, Expert Payouts, Refunds, Cancellations, Taxes, Coupons, and Financial Terms

8.1 Payment Facilitation

XpertOne provides payment facilitation infrastructure that enables Users to pay for services booked through the Platform.

The Platform itself does not issue loans, extend credit, provide banking services, or operate as a financial institution.

Payments are processed using payment service providers and payment technologies integrated with the Platform from time to time.

The payment providers used by XpertOne may change without prior notice.

Users agree to comply with the applicable terms, policies, and legal requirements of the relevant payment provider used for a particular transaction.


8.2 Current Payment Infrastructure

As of the Effective Date of these Terms, XpertOne currently facilitates payments using an integrated UPI QR Code payment solution.

From time to time, XpertOne may introduce, replace, remove, or support additional payment methods, including but not limited to:

  • UPI
  • Debit Cards
  • Credit Cards
  • Net Banking
  • Digital Wallets
  • International Payment Methods
  • Banking APIs
  • Escrow Services
  • Other legally permitted payment systems

The availability of any payment method is subject to technical, regulatory, and commercial considerations.


8.3 Escrow-Based Payment Model

Unless expressly stated otherwise, payments made by Users are initially retained within the Platform’s payment workflow and are not immediately released to the Expert.

Funds are generally held until the applicable Order completion requirements under the Platform have been satisfied.

This payment structure is intended to promote orderly transaction management, facilitate dispute handling where appropriate, and support marketplace integrity.


8.4 When Payment Becomes Due

Payment becomes due after:

  • the Expert accepts the Booking Request; and
  • the User proceeds with payment through the Platform.

A Booking Request alone does not require payment unless indicated by the Platform.

Failure to complete payment within the applicable period may result in automatic cancellation of the Booking Request.


8.5 Expert Eligibility for Payout

Subject to these Terms and any applicable Platform policies, an Expert generally becomes eligible for payout after:

  • the booked Session has been completed;
  • applicable Deliverables have been submitted where required;
  • the Order has been marked as completed through the Platform or otherwise completed in accordance with Platform procedures; and
  • no applicable payment hold, investigation, dispute, fraud review, legal restriction, or regulatory requirement prevents release of funds.

Eligibility for payout does not guarantee immediate transfer of funds.


8.6 Minimum Payout Balance

To support operational efficiency, XpertOne may establish a minimum retained balance within an Expert account.

As of the Effective Date of these Terms, Experts are generally required to maintain a minimum balance of ₹500 on the Platform.

Accordingly:

  • amounts exceeding the applicable minimum balance may be requested for payout; and
  • the retained minimum balance generally remains on the Platform unless otherwise determined by XpertOne.

XpertOne reserves the right to modify the minimum retained balance at any time by updating the applicable Platform policies.


8.7 Payout Processing

After a valid payout request is submitted, XpertOne aims to process eligible payouts within approximately 36 hours.

Processing times are estimates only and may vary depending upon:

  • banking systems;
  • payment provider processing;
  • weekends;
  • public holidays;
  • technical maintenance;
  • fraud prevention reviews;
  • regulatory requirements;
  • force majeure events;
  • security reviews;
  • operational requirements; or
  • circumstances beyond XpertOne’s reasonable control.

Delays shall not automatically constitute a breach of these Terms.


8.8 Payment Holds

To protect Users, Experts, payment systems, and the Platform, XpertOne reserves the right to temporarily hold, delay, suspend, or restrict payments or payouts where reasonably necessary, including where:

  • fraud is suspected;
  • identity verification is pending;
  • KYC verification is incomplete;
  • suspicious transactions are detected;
  • unauthorized account access is suspected;
  • a dispute has been raised;
  • chargeback investigations are ongoing;
  • legal proceedings are pending;
  • regulatory authorities require preservation of funds;
  • court orders are received;
  • sanctions screening is required;
  • unlawful conduct is reasonably suspected; or
  • additional review is necessary to protect marketplace integrity.

Payment holds do not necessarily indicate wrongdoing.


8.9 Platform Fees

XpertOne may charge fees for services provided through the Platform.

Such fees may include, where applicable:

  • Platform service fees;
  • marketplace fees;
  • transaction fees;
  • convenience fees;
  • payment processing charges;
  • Expert commissions;
  • promotional fees;
  • subscription fees;
  • feature access fees; or
  • other charges disclosed through the Platform.

Applicable fees will generally be displayed before completion of the transaction where required by law.


8.10 Taxes

Users and Experts remain individually responsible for determining and complying with their own tax obligations arising from use of the Platform.

Where required by applicable law, XpertOne may:

  • collect taxes;
  • deduct taxes;
  • withhold taxes;
  • report transactions;
  • issue tax-related documents; or
  • comply with governmental reporting obligations.

The absence of any current tax collection mechanism does not limit XpertOne’s right or obligation to comply with future legal requirements.


8.11 Promotional Offers

XpertOne may introduce promotional campaigns from time to time.

Promotions may include:

  • coupon codes;
  • promotional discounts;
  • referral rewards;
  • introductory offers;
  • seasonal campaigns;
  • marketing incentives; or
  • other promotional benefits.

Unless expressly stated otherwise:

  • promotions have no cash value;
  • promotions cannot be transferred;
  • promotions may expire;
  • promotions may be withdrawn at any time;
  • misuse may result in cancellation.

8.12 Coupons

Where coupon codes are offered:

  • only valid coupons may be used;
  • coupons are subject to their individual terms;
  • only eligible transactions qualify;
  • expired coupons cannot be redeemed;
  • fraudulent coupon activity is prohibited.

XpertOne reserves the right to invalidate coupons obtained through fraud, abuse, technical manipulation, or violation of these Terms.


8.13 Pricing Errors

Despite reasonable efforts, pricing errors may occasionally occur.

Where a genuine technical, typographical, computational, or system error materially affects pricing, XpertOne reserves the right, to the extent permitted by applicable law, to:

  • correct the error;
  • cancel the affected transaction;
  • request confirmation at the correct price;
  • issue a refund where appropriate; or
  • take other reasonable corrective action.

8.14 Currency

Unless otherwise indicated, all prices displayed on the Platform are denominated in Indian Rupees (INR).

Future support for additional currencies does not obligate XpertOne to maintain any particular currency.

Exchange rates, foreign transaction charges, banking charges, or international payment fees imposed by financial institutions remain the responsibility of the relevant User or Expert.


8.15 Unauthorized Transactions

Users and Experts must immediately notify XpertOne if they believe:

  • unauthorized payments have occurred;
  • payment credentials have been compromised;
  • fraudulent transactions have been initiated;
  • payout information has been altered without authorization.

Prompt reporting assists XpertOne in investigating potential fraud but does not guarantee reversal of completed transactions.


8.16 Chargebacks

Improper, fraudulent, or abusive chargebacks undermine marketplace integrity.

Where a chargeback is initiated, XpertOne may:

  • investigate the transaction;
  • temporarily suspend the related account;
  • preserve relevant evidence;
  • delay payouts;
  • contest the chargeback where appropriate;
  • cooperate with payment providers and competent authorities.

Nothing in this Section limits any rights available under applicable law.


8.17 Refunds and Cancellations

Refund eligibility and cancellation rights are governed primarily by the Refund & Cancellation Policy, which forms part of these Terms.

Without limiting that policy, the following general principles currently apply:

  • A User may cancel an eligible confirmed booking more than one (1) hour before the scheduled Session start time and receive a refund in accordance with the Refund & Cancellation Policy.
  • If a Session is scheduled to begin within one (1) hour of booking, cancellation may no longer be available through the Platform.
  • Refunds are generally not available merely because the User changes their mind after the applicable cancellation window has expired.
  • Where an Expert fails to attend the confirmed Session or fails to provide the booked service without a valid reason accepted by XpertOne, the User may be eligible for a refund or other remedy in accordance with the Refund & Cancellation Policy.
  • Requests for refunds based on dissatisfaction with advice, opinions, educational outcomes, business results, personal decisions, or similar subjective outcomes will be assessed in accordance with the Refund & Cancellation Policy and applicable law. XpertOne does not guarantee that every refund request will be approved.

Nothing in this Section limits any non-waivable consumer rights available under applicable law.


8.18 Financial Records

XpertOne may retain financial records including, where appropriate:

  • transaction identifiers;
  • order references;
  • payout records;
  • payment confirmations;
  • accounting records;
  • audit logs;
  • compliance records; and
  • information required by applicable law.

Certain financial records may be retained beyond account closure where required for legal, regulatory, taxation, fraud prevention, audit, or legitimate business purposes.


8.19 No Circumvention of Platform Payments

Users and Experts shall not intentionally circumvent the Platform by requesting, offering, soliciting, or accepting payment for Platform-originated bookings outside the payment systems authorized by XpertOne.

Prohibited conduct includes, without limitation:

  • requesting direct bank transfers to avoid Platform fees;
  • sharing payment details for off-platform settlement before completion of a Platform booking;
  • encouraging cancellation of Platform bookings to complete the transaction privately; or
  • using the Platform merely to identify counterparties and complete transactions elsewhere.

Violation of this Section may result in cancellation of bookings, suspension or termination of accounts, forfeiture of pending payouts where permitted by applicable law, and any other administrative or legal action available to XpertOne.


8.20 Reservation of Financial Rights

To maintain the security, integrity, and lawful operation of the Platform, XpertOne reserves the right, subject to applicable law, to introduce, modify, suspend, replace, or discontinue payment methods, escrow procedures, payout rules, financial controls, fraud prevention measures, promotional programs, minimum payout thresholds, processing timelines, transaction limits, and related financial procedures at any time.

XpertOne further reserves the right to suspend, investigate, delay, or refuse any transaction that it reasonably believes may involve fraud, abuse, unlawful conduct, security risks, regulatory non-compliance, or violations of these Terms, while respecting any mandatory rights provided under applicable law.

9. Acceptable Use, Prohibited Activities, Fraud Prevention, Account Suspension, and Enforcement

9.1 Lawful Use of the Platform

Users, Experts, applicants, visitors, and every person accessing XpertOne agree to use the Platform only for lawful purposes and strictly in accordance with these Terms, applicable Platform policies, and all applicable laws.

Use of the Platform is a limited, revocable, non-exclusive, non-transferable permission granted by XpertOne and not a transfer of ownership or any proprietary right.


9.2 Duty of Good Faith

All participants are expected to interact honestly, professionally, and in good faith.

No person shall intentionally use the Platform to:

  • deceive another person;
  • obtain services dishonestly;
  • interfere with Platform operations;
  • manipulate marketplace systems;
  • create legal or security risks;
  • damage the reputation of another participant through false or misleading conduct.

9.3 Prohibited Activities

Without limiting any other restriction contained in these Terms, you shall not directly or indirectly:

  • violate any applicable law;
  • violate these Terms;
  • violate Platform policies;
  • infringe intellectual property rights;
  • impersonate another person;
  • create fake identities;
  • use forged documentation;
  • submit fraudulent verification documents;
  • create duplicate accounts to bypass restrictions;
  • manipulate reviews or ratings;
  • artificially increase bookings;
  • create fake bookings;
  • intentionally waste Expert time;
  • intentionally waste User time;
  • abuse customer support;
  • harass another participant;
  • threaten another participant;
  • intimidate another participant;
  • discriminate against another participant;
  • publish unlawful content;
  • publish defamatory material;
  • distribute malware;
  • introduce viruses;
  • interfere with Platform infrastructure;
  • reverse engineer Platform software;
  • scrape Platform data without authorization;
  • perform automated extraction of Platform content without written permission;
  • bypass security measures;
  • test Platform vulnerabilities without authorization;
  • interfere with payment systems;
  • manipulate scheduling systems;
  • misuse proprietary Platform technologies;
  • interfere with Slot Rolling or Slot Shifting mechanisms;
  • access another person’s account without authorization;
  • attempt unauthorized privilege escalation;
  • conduct phishing attacks;
  • commit identity theft;
  • conduct financial fraud;
  • launder money;
  • finance unlawful activity;
  • violate sanctions laws;
  • distribute spam;
  • conduct unauthorized advertising;
  • send unsolicited commercial communications;
  • use bots without authorization;
  • misuse APIs where introduced;
  • encourage violations of these Terms;
  • assist another person in violating these Terms.

9.4 Platform Integrity

Users and Experts shall not engage in any conduct intended to undermine the integrity of the marketplace.

Examples include:

  • fake reviews;
  • reciprocal review manipulation;
  • coordinated manipulation of rankings;
  • artificial booking inflation;
  • fake profile creation;
  • false complaints;
  • malicious reporting;
  • abuse of dispute procedures;
  • repeated frivolous refund requests;
  • misuse of promotional campaigns;
  • coupon abuse;
  • referral abuse;
  • coordinated manipulation of search visibility.

9.5 Off-Platform Circumvention

Users and Experts shall not use XpertOne merely as a means of locating one another for the purpose of avoiding Platform processes.

Without limiting Section 8, participants shall not intentionally attempt to circumvent the Platform by:

  • negotiating Platform-originated bookings outside XpertOne;
  • requesting off-platform payment before completion of a Platform booking;
  • encouraging cancellation for the purpose of avoiding Platform fees;
  • repeatedly redirecting Platform Users to external payment arrangements.

This restriction helps maintain marketplace security, payment protection, dispute handling, and operational integrity.


9.6 Illegal Services

Experts shall not publish Listings offering services that are unlawful under applicable law.

Prohibited services include, without limitation:

  • services intended to facilitate criminal conduct;
  • fraudulent activities;
  • document forgery;
  • hacking services;
  • malware development;
  • unauthorized surveillance;
  • unlawful financial schemes;
  • human trafficking;
  • illegal gambling where prohibited;
  • sale of prohibited goods;
  • services requiring licences that the Expert does not possess;
  • any activity prohibited by applicable law.

XpertOne may immediately remove such Listings without prior notice.


9.7 Misrepresentation

Experts shall not knowingly misrepresent:

  • qualifications;
  • licences;
  • certifications;
  • experience;
  • affiliations;
  • achievements;
  • success rates;
  • testimonials;
  • pricing;
  • availability;
  • deliverables;
  • guarantees.

Users shall not knowingly misrepresent:

  • identity;
  • booking purpose;
  • payment information;
  • complaints;
  • refund requests;
  • evidence submitted to XpertOne.

9.8 Harassment and Abuse

The Platform has zero tolerance for serious harassment or abuse.

Users and Experts shall not engage in:

  • verbal abuse;
  • discriminatory conduct;
  • hate speech;
  • stalking;
  • intimidation;
  • coercion;
  • threats of violence;
  • sexual harassment;
  • extortion;
  • blackmail;
  • repeated unwanted communications;
  • malicious humiliation;
  • targeted harassment.

Violations may result in immediate suspension or permanent removal.


9.9 Fraud Prevention

To protect marketplace participants, XpertOne operates fraud detection and prevention measures.

These measures may include:

  • identity verification;
  • behavioural monitoring;
  • transaction analysis;
  • account review;
  • risk scoring;
  • document verification;
  • payment review;
  • technical monitoring;
  • security investigations;
  • other reasonable anti-fraud measures.

The exact operation of these systems constitutes confidential proprietary information belonging to XpertOne.


9.10 Security Cooperation

Users and Experts agree to reasonably cooperate with investigations relating to:

  • fraud;
  • security incidents;
  • account compromise;
  • payment disputes;
  • identity verification;
  • abuse reports;
  • legal requests;
  • regulatory compliance;
  • protection of the Platform.

Failure to reasonably cooperate may affect continued access to the Platform.


9.11 Reporting Misconduct

Any participant who reasonably believes that another participant has violated these Terms may report the matter to XpertOne.

Reports should include, where reasonably available:

  • booking reference;
  • order number;
  • screenshots;
  • communications;
  • recordings lawfully created;
  • supporting documents;
  • other relevant evidence.

Knowingly submitting false complaints is itself a violation of these Terms.


9.12 Investigations

XpertOne may investigate suspected violations of these Terms.

Investigations may include review of:

  • Platform records;
  • booking history;
  • payment records;
  • account information;
  • communications submitted to XpertOne;
  • uploaded documentation;
  • operational logs;
  • other information reasonably necessary to administer the Platform.

XpertOne is not obligated to investigate every complaint but may do so where reasonably appropriate.


9.13 Administrative Measures

Where XpertOne reasonably believes that these Terms, Platform policies, or applicable law have been violated, it may take one or more administrative actions including:

  • issuing warnings;
  • requesting clarification;
  • requesting additional verification;
  • temporarily restricting Platform features;
  • removing Listings;
  • cancelling Bookings where reasonably necessary;
  • delaying payouts;
  • suspending accounts;
  • permanently terminating accounts;
  • preserving evidence;
  • reporting unlawful conduct to competent authorities;
  • cooperating with law enforcement agencies;
  • taking other reasonable administrative measures.

The specific action taken will depend upon the nature and seriousness of the circumstances.


9.14 Immediate Suspension

Without limiting other provisions of these Terms, XpertOne may immediately suspend or restrict access to the Platform where it reasonably believes such action is necessary to:

  • protect Users;
  • protect Experts;
  • protect Platform infrastructure;
  • prevent fraud;
  • preserve evidence;
  • comply with legal obligations;
  • prevent financial loss;
  • respond to court orders;
  • respond to governmental requests;
  • address cybersecurity risks;
  • investigate serious misconduct.

Suspension pending investigation does not constitute a final determination of wrongdoing.


9.15 Permanent Termination

XpertOne may permanently terminate access to the Platform where, after appropriate review, it reasonably determines that a participant has engaged in serious or repeated violations including, but not limited to:

  • fraud;
  • repeated abuse;
  • criminal activity;
  • identity theft;
  • forged documentation;
  • repeated payment circumvention;
  • repeated harassment;
  • repeated Platform manipulation;
  • serious legal violations;
  • conduct creating unacceptable risk to the marketplace.

Termination under this Section does not affect any accrued rights or obligations existing prior to termination.


9.16 Cooperation with Authorities

Where required by applicable law, court order, regulatory direction, or other lawful governmental request, XpertOne may preserve, disclose, or provide relevant records to competent authorities.

XpertOne may also voluntarily cooperate with lawful investigations where permitted by applicable law and reasonably necessary to protect the Platform or its participants.


9.17 No Obligation to Continue Service

Access to XpertOne is conditional upon continued compliance with these Terms.

Nothing contained in these Terms shall be interpreted as guaranteeing permanent access to the Platform, any particular feature, any Listing, any category, any account status, or any future business opportunity.


9.18 Reservation of Enforcement Rights

To protect the security, integrity, reputation, and lawful operation of the Platform, XpertOne reserves the right, subject to applicable law, to investigate suspected violations, preserve evidence, monitor compliance with these Terms, suspend or terminate accounts, remove Listings or content, delay transactions or payouts, modify access privileges, introduce additional safeguards, and take any other reasonable administrative or legal action necessary to maintain a safe and trustworthy marketplace.

The failure of XpertOne to enforce any provision of these Terms on one occasion shall not constitute a waiver of its right to enforce that provision or any other provision in the future.

10. Intellectual Property, User Content, Expert Content, Deliverables, Licenses, and Ownership

10.1 Ownership of the Platform

The XpertOne Platform, including its website, software, source code, object code, databases, architecture, user interface, workflows, scheduling systems, business methods, proprietary technologies, algorithms, trademarks, trade dress, logos, graphics, layouts, text, documentation, audiovisual elements, designs, features, functionality, and all related intellectual property are and shall remain the exclusive property of XpertOne and/or its licensors.

Nothing contained in these Terms transfers ownership of any intellectual property rights to any User, Expert, or other person.

Except for the limited rights expressly granted under these Terms, all rights are reserved.


10.2 Limited License to Use the Platform

Subject to continued compliance with these Terms, XpertOne grants Users and Experts a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform solely for its intended purpose.

This license automatically terminates upon suspension, termination, or closure of the relevant account.

No person acquires ownership rights merely by using the Platform.


10.3 XpertOne Trademarks

“XpertOne,” “xpertone.in,” the XpertOne name, logos, branding, graphics, slogans, icons, marketplace identity, product names, feature names, and all associated branding elements are proprietary trademarks, trade names, or distinctive identifiers belonging to XpertOne unless otherwise stated.

No User or Expert may:

  • copy them;
  • register similar marks;
  • modify them;
  • reproduce them;
  • use them in advertisements without written permission;
  • imply endorsement by XpertOne;
  • create confusingly similar branding.

Unauthorized use may constitute trademark infringement and unfair competition under applicable law.


10.4 Proprietary Technology

Without limitation, the following constitute confidential proprietary technology of XpertOne:

  • Slot Rolling technology;
  • Slot Shifting technology;
  • scheduling algorithms;
  • booking workflows;
  • marketplace logic;
  • search methodologies;
  • recommendation systems;
  • fraud prevention systems;
  • account verification systems;
  • operational procedures;
  • internal software architecture;
  • future marketplace technologies.

Users and Experts shall not attempt to:

  • reverse engineer;
  • decompile;
  • disassemble;
  • copy;
  • imitate;
  • replicate;
  • benchmark for competitive purposes;
  • commercially exploit;
  • develop derivative systems from such proprietary technologies except where such restriction is prohibited by applicable law.

10.5 Platform Content

Unless otherwise indicated, all content published by XpertOne, including:

  • website text;
  • graphics;
  • icons;
  • illustrations;
  • layouts;
  • navigation;
  • databases;
  • software;
  • documentation;
  • tutorials;
  • FAQs;
  • help material;
  • policies;
  • marketing material;
  • user interface elements;
  • feature descriptions;
  • marketplace structure;

belongs to XpertOne or its licensors and is protected by applicable intellectual property laws.


10.6 Expert Content

Experts retain ownership of intellectual property rights they legitimately own in content they create and upload, including where applicable:

  • profile descriptions;
  • biographies;
  • Listing descriptions;
  • educational materials;
  • presentations;
  • notes;
  • reports;
  • templates;
  • documents;
  • videos;
  • graphics;
  • original educational content;
  • other lawful materials.

Experts represent and warrant that they possess all necessary rights to upload and use such content on the Platform.


10.7 User Content

Users retain ownership of intellectual property rights they legitimately own in content submitted to the Platform, including:

  • profile information;
  • uploaded files;
  • reviews;
  • communications;
  • requests;
  • questions;
  • documents;
  • feedback;
  • other original content.

Users represent that they possess all rights necessary to submit such content.


10.8 License Granted to XpertOne

By uploading, publishing, submitting, transmitting, or otherwise making content available through the Platform, Users and Experts grant XpertOne a worldwide, non-exclusive, royalty-free, transferable (only where reasonably necessary for Platform operations), sublicensable (to service providers supporting Platform operations), license to:

  • host;
  • store;
  • reproduce;
  • display;
  • transmit;
  • format;
  • index;
  • adapt for technical compatibility;
  • back up;
  • process;
  • distribute within the Platform;
  • use solely for operating, maintaining, securing, improving, promoting, administering, and providing the Platform.

This license continues only for as long as reasonably necessary for the purposes described in these Terms, subject to applicable legal retention requirements.


10.9 Deliverables

Unless expressly agreed otherwise between the User and the Expert, ownership of intellectual property in Deliverables remains with the Expert to the extent permitted by applicable law.

Upon successful completion of the applicable Order and payment, the User receives a limited, non-exclusive, non-transferable license to use the Deliverable solely for the personal purpose reasonably contemplated by the applicable Listing.

Unless expressly authorized by the Expert or otherwise permitted by law, Users shall not:

  • publish Deliverables publicly;
  • resell Deliverables;
  • sublicense Deliverables;
  • commercially exploit Deliverables;
  • remove copyright notices;
  • falsely claim authorship;
  • distribute Deliverables to third parties.

Where a Listing expressly provides different intellectual property terms, those Listing-specific terms shall govern to the extent they do not conflict with applicable law.


10.10 User Reviews

Users retain ownership of original reviews they submit.

By submitting a review, the User grants XpertOne a worldwide, perpetual (subject to applicable law), non-exclusive, royalty-free license to display, reproduce, publish, moderate, archive, and use the review in connection with operation, improvement, promotion, and administration of the Platform.

XpertOne may remove reviews that violate these Terms, applicable law, or Platform policies.


10.11 Feedback

If any User or Expert voluntarily submits suggestions, ideas, enhancement requests, comments, feature requests, recommendations, business proposals, or other feedback relating to the Platform, such feedback may be used by XpertOne without restriction and without any obligation to provide compensation, attribution, royalties, or ownership rights, unless prohibited by applicable law.


10.12 Copyright Compliance

Users and Experts shall not upload, publish, transmit, distribute, or otherwise use content that infringes the intellectual property rights of another person.

Where XpertOne receives a valid intellectual property complaint, it may:

  • remove the content;
  • disable access;
  • request additional information;
  • suspend the relevant account;
  • preserve evidence;
  • cooperate with competent authorities where appropriate.

The detailed complaint process is governed by the applicable Copyright/IP Policy and Copyright Complaint Policy.


10.13 Open Source Components

Certain components of the Platform may incorporate software distributed under open source licenses.

Nothing in these Terms limits rights granted under the applicable open source licenses.

Where required, copies of applicable license notices will be made available in accordance with those licenses.


10.14 Third-Party Intellectual Property

Any trademarks, service marks, logos, product names, or intellectual property belonging to third parties remain the property of their respective owners.

Reference to third-party products, technologies, or services does not imply sponsorship, endorsement, partnership, or affiliation unless expressly stated by XpertOne.


10.15 Reservation of Intellectual Property Rights

Except for the limited licenses expressly granted under these Terms, no right, title, ownership, or interest in any intellectual property is transferred to any User, Expert, or third party.

All intellectual property rights not expressly granted are reserved by XpertOne and its licensors.

Unauthorized use, reproduction, extraction, adaptation, republication, commercial exploitation, reverse engineering, or distribution of Platform intellectual property may result in suspension of Platform access, civil proceedings, criminal remedies where applicable, and any other rights available under applicable law.

Nothing in this Section limits XpertOne’s ability to protect its intellectual property, confidential information, proprietary technologies, trade secrets, trademarks, copyrights, business methods, software, algorithms, databases, or future innovations through any lawful means available under applicable law.

11. Disclaimers, Limitation of Liability, Assumption of Risk, and Indemnification

11.1 Platform Role

XpertOne is a technology marketplace that facilitates connections between independent Users and independent Experts.

Except where expressly stated otherwise, XpertOne does not itself provide the educational, consulting, advisory, mentoring, coaching, assistance, technical, professional, or other services offered through Expert Listings.

Each Expert independently determines:

  • the services offered;
  • qualifications presented;
  • availability;
  • pricing;
  • Scope;
  • Deliverables; and
  • professional methods used during Sessions.

Accordingly, the legal relationship concerning the actual performance of the booked service exists primarily between the User and the Expert.


11.2 No Professional Relationship With XpertOne

Use of the Platform does not create between the User and XpertOne any:

  • doctor-patient relationship;
  • lawyer-client relationship;
  • financial adviser-client relationship;
  • therapist-client relationship;
  • teacher-student relationship;
  • employment relationship;
  • fiduciary relationship;
  • agency relationship;
  • partnership;
  • joint venture; or
  • other professional relationship.

Any such relationship, if legally created at all, exists only between the User and the independent Expert.


11.3 No Guarantee of Results

XpertOne makes no representation, warranty, or guarantee regarding:

  • educational achievement;
  • examination results;
  • employment;
  • promotion;
  • business growth;
  • financial gain;
  • investment returns;
  • legal outcomes;
  • immigration outcomes;
  • visa approvals;
  • government approvals;
  • admission into educational institutions;
  • medical outcomes;
  • therapy outcomes;
  • psychological outcomes;
  • relationship outcomes;
  • spiritual outcomes;
  • astrological predictions;
  • technical success;
  • software performance created during a Session;
  • repair success;
  • completion of projects beyond the agreed Scope; or
  • any future event or circumstance.

Users acknowledge that outcomes depend upon numerous factors outside the reasonable control of XpertOne.


11.4 No Warranty Regarding Experts

Although XpertOne operates verification procedures, Users acknowledge that verification does not constitute a guarantee of:

  • competence;
  • professional skill;
  • honesty;
  • future conduct;
  • licensing status;
  • legal compliance;
  • suitability;
  • experience;
  • service quality;
  • ethical standards; or
  • successful outcomes.

Users are responsible for independently evaluating whether an Expert is appropriate for their requirements.


11.5 Information Provided During Sessions

Experts may express opinions, recommendations, strategies, educational explanations, demonstrations, interpretations, estimates, forecasts, or personal viewpoints.

Unless expressly stated otherwise by applicable law, such information should not automatically be interpreted as:

  • legally binding advice;
  • guaranteed professional advice;
  • government-approved guidance;
  • certified diagnosis;
  • guaranteed prediction;
  • guaranteed solution;
  • guaranteed investment recommendation;
  • guaranteed legal opinion; or
  • guaranteed factual certainty.

Users remain responsible for exercising independent judgment before acting upon information received.


11.6 User Decisions

Users remain solely responsible for decisions they make before, during, or after a Session.

This includes decisions relating to:

  • education;
  • career;
  • employment;
  • investments;
  • business;
  • relationships;
  • health;
  • lifestyle;
  • spirituality;
  • purchases;
  • legal matters;
  • financial matters;
  • technical implementation; and
  • any other personal or commercial decision.

11.7 Personal Responsibility

Users acknowledge that they participate in Sessions voluntarily.

The User assumes responsibility for evaluating:

  • advice received;
  • educational content;
  • recommendations;
  • demonstrations;
  • opinions;
  • suggested actions;
  • Deliverables; and
  • any subsequent implementation.

11.8 Availability Disclaimer

While XpertOne aims to provide reliable Platform services, uninterrupted availability cannot be guaranteed.

The Platform may occasionally experience:

  • scheduled maintenance;
  • emergency maintenance;
  • software updates;
  • server interruptions;
  • internet failures;
  • telecommunications failures;
  • third-party outages;
  • cybersecurity incidents;
  • infrastructure upgrades;
  • force majeure events.

Temporary interruptions shall not automatically constitute breach of these Terms.


11.9 Third-Party Services

The Platform may integrate with or rely upon third-party technologies, including communication providers, payment processors, email providers, analytics providers, hosting providers, cloud infrastructure providers, identity verification providers, security providers, or similar services.

XpertOne does not control the continued availability, security, policies, performance, or legal compliance of independent third-party providers.

Use of such third-party services may also be subject to their own terms and privacy policies.


11.10 Communication Platform Disclaimer

Online Sessions are conducted using communication technologies supported by the Platform.

The operation, security, availability, recording capabilities, encryption, connectivity, and technical functionality of such communication services may depend partly upon independent third-party technology providers.

XpertOne shall not be responsible for interruptions, technical failures, software defects, latency, connectivity issues, or service outages originating from third-party communication infrastructure.


11.11 Payment Provider Disclaimer

Payments are processed using independent payment service providers.

Accordingly, XpertOne does not guarantee:

  • banking availability;
  • payment processing speed;
  • payment gateway uptime;
  • banking network availability;
  • UPI availability;
  • settlement timing;
  • payment provider security incidents beyond XpertOne’s reasonable control.

Users and Experts acknowledge that payment processing may also be governed by the applicable payment provider’s terms and applicable banking regulations.


11.12 Security Disclaimer

XpertOne implements reasonable administrative, technical, and organizational security measures.

However, no internet-based service can guarantee absolute security.

Accordingly, XpertOne does not warrant that the Platform will always be free from:

  • cyberattacks;
  • malware;
  • phishing;
  • unauthorized access;
  • denial-of-service attacks;
  • software vulnerabilities;
  • hardware failures;
  • internet disruptions;
  • data corruption; or
  • other unforeseen security incidents.

11.13 User Responsibility for Devices

Users and Experts remain solely responsible for:

  • maintaining secure devices;
  • installing software updates;
  • protecting passwords;
  • using antivirus software where appropriate;
  • securing internet connections;
  • protecting their own local data.

11.14 Limitation of Liability

To the fullest extent permitted by applicable law, XpertOne, its owners, officers, employees, representatives, contractors, affiliates, licensors, technology providers, successors, and assigns shall not be liable for any indirect, incidental, consequential, exemplary, punitive, special, or similar damages arising from or relating to:

  • use of the Platform;
  • inability to use the Platform;
  • Expert conduct;
  • User conduct;
  • Session outcomes;
  • advice received;
  • educational outcomes;
  • business decisions;
  • financial losses;
  • investment losses;
  • lost profits;
  • loss of opportunity;
  • loss of goodwill;
  • loss of reputation;
  • emotional distress;
  • data loss;
  • interruption of business;
  • third-party actions;
  • technical failures; or
  • events beyond XpertOne’s reasonable control.

This limitation applies regardless of the legal theory upon which liability is asserted, except where such limitation is prohibited by applicable law.


11.15 Maximum Liability

To the maximum extent permitted by applicable law, XpertOne’s aggregate liability arising out of or relating to any individual transaction shall not exceed the total Platform fees actually retained by XpertOne in connection with that specific transaction giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded under applicable law.


11.16 No Liability for Expert Conduct

XpertOne is not responsible for:

  • statements made by Experts;
  • opinions expressed by Experts;
  • recommendations provided by Experts;
  • professional judgments;
  • conduct during Sessions;
  • quality of independent services;
  • omissions by Experts;
  • negligence of Experts;
  • unlawful acts committed by Experts.

Experts remain solely responsible for their own conduct.


11.17 No Liability for User Conduct

Similarly, XpertOne is not responsible for:

  • User misconduct;
  • abusive behaviour;
  • unlawful recordings;
  • misuse of Deliverables;
  • off-platform conduct;
  • fraudulent complaints;
  • misuse of Expert information;
  • unlawful publication of Session content.

Users remain solely responsible for their own conduct.


11.18 Assumption of Risk

By using the Platform, Users and Experts acknowledge that online interactions involve inherent risks, including:

  • misunderstandings;
  • technical failures;
  • communication difficulties;
  • differing opinions;
  • scheduling issues;
  • internet interruptions;
  • limitations of remote communication.

Participants voluntarily assume such ordinary risks associated with online marketplace services.


11.19 Indemnification

To the fullest extent permitted by applicable law, Users and Experts agree to defend, indemnify, and hold harmless XpertOne, its owners, affiliates, employees, contractors, successors, representatives, licensors, and service providers from and against any claims, actions, proceedings, liabilities, losses, damages, penalties, costs, or reasonable legal expenses arising out of or relating to:

  • violation of these Terms;
  • violation of applicable law;
  • infringement of intellectual property rights;
  • misuse of the Platform;
  • fraud;
  • negligent conduct;
  • unlawful content;
  • Expert services;
  • User misconduct;
  • breach of representations or warranties made under these Terms.

This obligation survives termination of the account to the extent permitted by applicable law.


11.20 Force Majeure

XpertOne shall not be liable for delay, interruption, or failure to perform obligations caused by circumstances beyond its reasonable control, including but not limited to:

  • natural disasters;
  • floods;
  • earthquakes;
  • fires;
  • epidemics;
  • pandemics;
  • war;
  • terrorism;
  • riots;
  • civil unrest;
  • labour disputes;
  • governmental actions;
  • internet failures;
  • telecommunications failures;
  • cyberattacks;
  • power failures;
  • cloud infrastructure failures;
  • banking network disruptions; or
  • other force majeure events.

11.21 Reservation of Rights

Nothing contained in this Section shall be interpreted as limiting any mandatory legal rights available to Users under applicable law.

Likewise, nothing in these Terms shall prevent XpertOne from exercising any legal, contractual, equitable, or statutory rights available to protect the Platform, its intellectual property, its Users, its Experts, or its legitimate business interests.

The disclaimers and limitations contained in this Section shall be interpreted to the maximum extent permitted under applicable law and, where any provision is held unenforceable, the remaining provisions shall continue in full force and effect.

12. Account Suspension, Termination, Deletion, Survival, and Post-Termination Rights

12.1 Right to Suspend or Restrict Access

To protect the safety, integrity, security, reputation, and lawful operation of the Platform, XpertOne reserves the right, at its sole but reasonable discretion and subject to applicable law, to temporarily suspend, restrict, limit, or disable access to any account, Listing, Booking, Order, payment, payout, feature, communication channel, or Platform functionality whenever it reasonably believes such action is necessary.

Suspension may occur with or without prior notice where immediate action is reasonably required to protect the Platform, its Users, Experts, service providers, or to comply with legal obligations.


12.2 Grounds for Suspension

Without limitation, XpertOne may suspend or restrict an account where it reasonably suspects or determines that:

  • these Terms have been violated;
  • Platform policies have been violated;
  • applicable laws have been violated;
  • fraud is suspected;
  • identity theft is suspected;
  • unauthorized account access has occurred;
  • misleading information has been provided;
  • fake documents have been submitted;
  • Expert verification cannot be completed;
  • payment fraud is suspected;
  • money laundering concerns arise;
  • repeated chargebacks occur;
  • abusive conduct is reported;
  • harassment has occurred;
  • threats have been made;
  • unlawful content has been uploaded;
  • intellectual property infringement has occurred;
  • marketplace manipulation is suspected;
  • fake reviews are submitted;
  • coordinated abuse is detected;
  • off-platform payment circumvention is identified;
  • repeated customer complaints indicate serious misconduct;
  • regulatory authorities require action;
  • law enforcement requests preservation of records;
  • technical or cybersecurity risks require immediate intervention.

This list is illustrative and not exhaustive.


12.3 Temporary Suspension

Temporary suspension may include, without limitation:

  • disabling login access;
  • hiding Listings;
  • preventing new Bookings;
  • delaying payouts;
  • restricting messaging;
  • freezing account modifications;
  • limiting withdrawals;
  • disabling promotional features;
  • requiring additional verification.

Temporary suspension does not necessarily imply wrongdoing and may be used while an investigation is ongoing.


12.4 Permanent Termination

XpertOne may permanently terminate an account where it reasonably concludes that continued participation creates an unacceptable risk to the Platform or its participants.

Permanent termination may occur for reasons including:

  • serious fraud;
  • repeated fraud;
  • criminal activity;
  • forged documents;
  • repeated abuse;
  • repeated harassment;
  • repeated payment circumvention;
  • repeated policy violations;
  • intellectual property infringement;
  • unlawful use of the Platform;
  • misuse of confidential information;
  • attempts to compromise Platform security;
  • repeated violations following prior warnings.

12.5 Voluntary Account Closure by Users

Users may request deletion or closure of their account by following the procedures made available through the Platform or by contacting XpertOne through the designated account deletion email address.

Account closure requests may require identity verification before processing.

Closure requests do not automatically cancel:

  • completed Orders;
  • outstanding payment obligations;
  • ongoing investigations;
  • legal preservation requirements;
  • applicable tax obligations.

12.6 Voluntary Account Closure by Experts

Experts may request closure of their Expert account by contacting XpertOne through the designated account deletion process.

Before processing an Expert deletion request, XpertOne may require completion of:

  • pending Sessions;
  • unresolved disputes;
  • identity verification;
  • payout reconciliation;
  • legal compliance procedures;
  • record preservation requirements.

Closure of an Expert account does not automatically eliminate obligations arising before termination.


12.7 Data Deletion Requests

Requests for deletion of personal data are governed by the Privacy Policy and Data Retention & Deletion Policy.

Where permitted by applicable law, XpertOne will process verified deletion requests within a reasonable period.

However, certain records may continue to be retained where required for:

  • legal compliance;
  • fraud prevention;
  • tax obligations;
  • accounting;
  • audit requirements;
  • dispute resolution;
  • law enforcement cooperation;
  • protection of legal rights.

12.8 Effect of Termination

Following suspension or termination, XpertOne may:

  • deactivate access credentials;
  • disable Listings;
  • cancel pending Bookings where appropriate;
  • preserve relevant records;
  • remove uploaded content where appropriate;
  • restrict future registration;
  • retain information as required by law or legitimate business interests.

Termination does not automatically entitle any party to compensation.


12.9 Outstanding Payments

Termination of an account does not automatically affect rights relating to:

  • completed Orders;
  • approved payouts;
  • unresolved payment disputes;
  • refund obligations;
  • escrow review;
  • taxes;
  • chargebacks;
  • regulatory requirements.

XpertOne may retain, release, delay, or otherwise administer funds in accordance with these Terms, applicable law, and the relevant Platform policies.


12.10 Pending Investigations

Where an account becomes subject to an active investigation, XpertOne may postpone deletion, payout, or closure until the investigation has been reasonably completed or legal obligations have been satisfied.


12.11 Re-Registration

A person whose account has been permanently terminated may not create another account without prior written authorization from XpertOne.

Attempts to bypass termination by creating additional accounts may result in immediate removal of the new account.


12.12 Platform Discontinuation

XpertOne reserves the right to discontinue, suspend, modify, merge, transfer, sell, or reorganize the Platform, any category, any feature, any service, or any portion of its business at any time, subject to applicable law.

Where reasonably practicable, appropriate notice may be provided.

Nothing in these Terms guarantees the continued availability of any particular feature, category, technology, marketplace, communication tool, payment method, scheduling system, or service.


12.13 Survival of Terms

The following provisions shall survive suspension, deletion, closure, or termination of any account to the extent necessary to give them legal effect:

  • Intellectual Property Rights;
  • Payment Obligations;
  • Escrow Administration;
  • Tax Obligations;
  • Confidentiality;
  • Privacy-related obligations;
  • Data Retention obligations;
  • Disclaimers;
  • Limitation of Liability;
  • Indemnification;
  • Governing Law;
  • Jurisdiction;
  • Dispute Resolution;
  • Copyright obligations;
  • Record Preservation;
  • Fraud Prevention;
  • Enforcement Rights;
  • Any provision that by its nature is intended to survive termination.

12.14 No Waiver

The suspension, termination, or continued operation of an account shall not constitute a waiver of any legal, contractual, statutory, or equitable rights available to XpertOne.

Likewise, the failure of XpertOne to exercise any particular remedy immediately shall not prevent it from exercising that remedy or any other remedy at a later time.


12.15 Reservation of Rights

XpertOne reserves the right, subject to applicable law, to suspend, terminate, restrict, investigate, preserve records, refuse future registration, delay payouts, retain information where legally required, cooperate with competent authorities, enforce these Terms, protect its Platform, and take any administrative or legal action reasonably necessary to safeguard Users, Experts, third parties, and the long-term integrity of the XpertOne marketplace.

Nothing contained in this Section limits any mandatory rights granted to Users or Experts under applicable law.

13. Governing Law, Jurisdiction, Dispute Resolution, Legal Notices, Amendments, Interpretation, and Miscellaneous

13.1 Governing Law

These Terms, together with all policies incorporated by reference, shall be governed by and interpreted in accordance with the laws of the Republic of India, without regard to any conflict of law principles.

Without limitation, the operation of the Platform shall be subject, where applicable, to relevant Indian laws and regulations, including amendments made from time to time, such as:

  • the Information Technology Act, 2000;
  • the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, as amended;
  • the Digital Personal Data Protection Act, 2023 and applicable rules when in force;
  • the Indian Contract Act, 1872;
  • the Consumer Protection Act, 2019;
  • the Consumer Protection (E-Commerce) Rules, 2020, where applicable;
  • the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, to the extent applicable;
  • applicable taxation laws;
  • applicable intellectual property laws; and
  • any other applicable laws, regulations, governmental notifications, or judicial directions.

Where any law changes after publication of these Terms, these Terms shall be interpreted, where reasonably possible, in a manner consistent with the updated legal requirements.


13.2 Jurisdiction

Subject to any mandatory rights available under applicable law, the courts having territorial jurisdiction over Nagpur, Maharashtra, India, shall have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Platform.

Where applicable law grants jurisdiction to another competent court that right shall not be excluded.


13.3 Good Faith Resolution

Before initiating formal legal proceedings, Users and Experts are encouraged to first contact XpertOne and attempt to resolve disputes through good-faith discussions.

Many issues can often be resolved more efficiently through communication than through litigation.

Nothing in this Section limits any statutory legal rights available under applicable law.


13.4 Platform Assistance During Disputes

Where appropriate, XpertOne may assist Users and Experts by:

  • reviewing Platform records;
  • confirming booking history;
  • confirming payment records;
  • reviewing operational logs;
  • reviewing submitted evidence;
  • facilitating communication between participants where appropriate.

However, XpertOne is not:

  • a judge;
  • an arbitrator;
  • a legal representative;
  • a law enforcement agency;
  • a mediator required to decide disputes.

Final legal rights remain governed by applicable law.


13.5 Legal Notices

Official legal notices relating to these Terms should be sent to the contact details published by XpertOne.

Electronic communications sent through the Platform or to officially designated Platform email addresses may constitute valid communications where permitted by applicable law.

Users remain responsible for maintaining an accurate and accessible email address associated with their account.


13.6 Electronic Communications

By creating an account or using the Platform, Users and Experts consent to receive electronic communications from XpertOne relating to:

  • account activity;
  • security alerts;
  • verification;
  • bookings;
  • payments;
  • legal notices;
  • policy updates;
  • operational announcements;
  • customer support;
  • compliance matters.

Where required by law, marketing communications shall be subject to applicable consent requirements and available opt-out mechanisms.


13.7 Policy Updates

XpertOne may modify:

  • these Terms;
  • the Privacy Policy;
  • Platform policies;
  • verification procedures;
  • operational workflows;
  • payment procedures;
  • booking systems;
  • scheduling systems;
  • Platform features;
  • security requirements; and
  • other operational documents,

to reflect changes in law, technology, security, business operations, or marketplace requirements.

Updated versions generally become effective upon publication unless a different effective date is specified.

Continued use of the Platform after the effective date of revised Terms constitutes acceptance of the updated Terms to the extent permitted by applicable law.

Where applicable law requires express consent for particular changes, XpertOne will seek such consent in the manner required by law.


13.8 Assignment

Users and Experts may not assign, transfer, delegate, or sublicense their rights or obligations under these Terms without prior written consent from XpertOne.

XpertOne may assign, transfer, merge, reorganize, or otherwise transfer its rights or obligations in connection with:

  • business restructuring;
  • mergers;
  • acquisitions;
  • sale of assets;
  • corporate reorganizations;
  • financing transactions;
  • legal succession;

subject to applicable law.


13.9 Severability

If any provision of these Terms is determined by a court or competent authority to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted by applicable law.

The remaining provisions shall continue in full force and effect.


13.10 No Waiver

Failure by XpertOne to enforce any right or provision under these Terms shall not constitute a waiver of that right or provision.

Any waiver shall be effective only if expressly made in writing by an authorized representative of XpertOne.


13.11 Entire Agreement

These Terms, together with all policies incorporated by reference, including but not limited to the:

  • Privacy Policy;
  • Refund & Cancellation Policy;
  • Cookie Policy (where applicable);
  • Community Guidelines;
  • Content Policy;
  • Payment Terms;
  • Grievance Redressal Policy;
  • Data Retention & Deletion Policy;
  • Copyright/IP Policy;
  • Copyright Complaint Policy;
  • Acceptable Use Policy;
  • Expert Agreement;
  • Expert Verification Policy;
  • KYC & Identity Verification Policy;
  • Session Recording Policy;
  • Security Policy;
  • Child Safety & Age Policy;
  • AI & Automated Decision-Making Notice; and
  • any additional policies published by XpertOne,

constitute the complete agreement between XpertOne and the User or Expert concerning use of the Platform and supersede prior discussions, understandings, or agreements relating to the same subject matter.


13.12 Relationship of the Parties

Nothing contained in these Terms creates:

  • employment;
  • partnership;
  • joint venture;
  • agency;
  • franchise;
  • fiduciary relationship; or
  • representative authority

between XpertOne and any User or Expert.

Experts operate independently and are solely responsible for the services they provide.


13.13 Third-Party Rights

Except where expressly provided by applicable law, these Terms do not create rights enforceable by any third party.


13.14 Headings

Section headings are included solely for convenience and shall not affect the interpretation of these Terms.


13.15 Language

These Terms are published in English.

Where translations are provided for convenience, the English version shall prevail to the extent permitted by applicable law in the event of any inconsistency.

  • information technology law; and
  • any other applicable legal framework.

Nothing contained in these Terms shall be interpreted as limiting any legal rights available to XpertOne that are not expressly waived.


13.18 Effective Date

The “Last Updated” date displayed on the Platform reflects the most recent revision.

Users and Experts are encouraged to review these Terms periodically to remain informed of updates.


ACKNOWLEDGEMENT

By accessing, browsing, registering, applying to become an Expert, booking a Session, publishing a Listing, making a payment, accepting a Booking, participating in a Session, uploading content, or otherwise using the XpertOne Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service, together with all policies incorporated by reference.

If you do not agree with these Terms, you must discontinue use of the Platform immediately.
