A “Booking Request” means a request submitted by a User to an Expert before payment confirmation and before an order is created.

Experts may accept or decline Booking Requests at their sole discretion unless otherwise required by applicable law or Platform policies.


2.5 Consultation

“Consultation” means an online interaction in which an Expert provides opinions, suggestions, explanations, recommendations, strategic discussions, or guidance based on the scope selected by the User.

Consultations are informational in nature unless expressly stated otherwise by the Expert and permitted under applicable law.


2.6 Deliverable

“Deliverable” means any digital material, document, summary, notes, worksheet, roadmap, report, explanation, checklist, edited file, review, feedback, action plan, template, recommendation, or any other output described in the Expert’s listing and selected by the User during booking.

The scope, format, quality, depth, and contents of Deliverables may vary between Experts and listings.

Unless otherwise specified in a listing, Deliverables are prepared solely by the Expert.

A screenshot confirming that the scheduled online session was conducted may be maintained as part of the booking records where applicable.


2.7 Expert

“Expert” means an independent individual who has successfully completed the onboarding process required by XpertOne, has been permitted to publish listings, and independently offers services through the Platform.

Experts are not employees, agents, representatives, partners, franchisees, subsidiaries, contractors, or legal representatives of XpertOne merely because they use the Platform.

Experts remain solely responsible for their own qualifications, knowledge, experience, advice, conduct, communications, services, and legal compliance.


2.8 Expert Listing

An “Expert Listing” means a publicly available service page published by an Expert describing the offered service, category, pricing, availability, scope, deliverables, requirements, limitations, and any additional information provided to Users.


2.9 Learn

“Learn” refers to the category through which Experts provide educational explanations, concept teaching, knowledge transfer, doubt resolution, practical learning, skill development, structured instruction, or subject-specific guidance across categories supported by XpertOne.

The educational depth, curriculum, certification status, and outcomes vary between Experts.


2.10 Consult

“Consult” refers to services where Experts provide advice, suggestions, opinions, strategies, recommendations, planning assistance, decision support, evaluations, or professional guidance within the scope defined in the listing.

Unless expressly stated otherwise, Consult services do not create any professional-client relationship beyond the booked session.


2.11 Assist

“Assist” refers to services where an Expert provides live guidance or practical assistance to help a User complete a defined task within the scope selected during booking.

Assistance may include demonstrations, walkthroughs, troubleshooting, reviews, collaborative work, procedural guidance, explanations, or similar support depending upon the listing.

The exact scope of assistance is determined solely by the Expert’s published listing and the option selected by the User before payment.


2.12 Order

“Order” means a confirmed booking for which the applicable payment has been successfully received or authorized through the Platform’s supported payment process.


2.13 Personal Data

“Personal Data” means any information relating to an identified or identifiable natural person, whether collected directly or indirectly, including but not limited to names, contact details, identifiers, documents, payment references, communications, technical information, and any information that can reasonably identify an individual.


2.14 Processing

“Processing” means any operation performed on Personal Data including collection, recording, organization, storage, modification, retrieval, consultation, use, disclosure, transmission, sharing, restriction, retention, anonymization, deletion, destruction, or any similar activity performed manually or through automated means.

2.18 Slot

A “Slot” means a specific period of availability published by an Expert for accepting bookings.


2.19 Slot Rolling

“Slot Rolling” refers to XpertOne’s proprietary scheduling functionality that dynamically adjusts available appointment slots based on booking activity, completed bookings, current time, scheduling logic, expert availability, and other operational considerations in order to improve scheduling efficiency and reduce unnecessary idle periods.

The precise operation of Slot Rolling constitutes proprietary business logic and may be modified without prior notice.


2.20 Slot Shifting

“Slot Shifting” refers to XpertOne’s proprietary scheduling functionality that automatically adjusts, updates, reorganizes, or optimizes available appointment slots where appropriate to reduce scheduling conflicts, prevent overlapping availability, improve calendar utilization, or enhance operational efficiency.

The algorithms, methodologies, scheduling rules, and internal decision-making processes governing Slot Shifting are confidential intellectual property of XpertOne.


2.21 User

“User” means any individual who accesses, browses, visits, registers, books services, communicates through, or otherwise uses any feature of the Platform.

Headings are included for convenience only and shall not affect interpretation.

Words importing the singular include the plural and vice versa where the context permits.

3.7 Private Expert Sessions

Consultation sessions conducted between a User and an Expert are intended to be private interactions between those participants.

Except where technically necessary for Platform operations, required by applicable law, required for dispute resolution, necessary to protect safety, or expressly authorized by the participants, XpertOne does not actively monitor, supervise, participate in, or control the substance of communications occurring during private consultation sessions.

Users and Experts remain individually responsible for their own conduct, statements, advice, actions, decisions, and interactions during such sessions.

Nothing contained in this Privacy Policy shall be interpreted as creating any obligation on XpertOne to continuously monitor or review private communications.

XpertOne does not continuously supervise or monitor the content of private sessions merely because they occur through meeting infrastructure used for Platform services.

Participants remain individually responsible for maintaining the privacy of their surroundings, devices, internet connections, recordings, files, and communications during online sessions.

Users and Experts should avoid disclosing confidential information unless they are comfortable doing so and believe it is reasonably necessary for the requested service.


8.14 Recording of Sessions

Where recording functionality is available through the meeting technology used for a session, Users or Experts may choose to record sessions in accordance with applicable law and the Platform’s policies.

Individuals who record sessions are solely responsible for complying with all applicable laws, including privacy, confidentiality, intellectual property, and any other legal obligations that may apply.

Any recording, reproduction, publication, distribution, transmission, commercial exploitation, public sharing, editing, or other use of recorded content remains subject to applicable law and the contractual obligations accepted by Platform users.

The Platform facilitates the technical arrangement of sessions. The actual service is provided directly by the selected Expert.

Depending on the listing, a session may involve:

  • Learning a concept or subject.
  • Receiving consultation or guidance.
  • Obtaining professional opinions.
  • Strategy discussions.
  • Problem-solving assistance.
  • Live demonstrations.
  • Skill development.
  • Online assistance.
  • Review of documents.
  • Personalized guidance.
  • Other scope-specific services described in the Expert’s listing.

Each booking is limited to the scope, deliverables, duration, and conditions selected by the User during the booking process.


11.2 Platform’s Role

XpertOne acts solely as a technology marketplace and booking facilitator.

The Platform provides services including:

  • Expert discovery.
  • Search functionality.
  • Marketplace listings.
  • Scheduling infrastructure.
  • Booking management.
  • Payment collection.
  • Escrow management.
  • Meeting coordination.
  • Order management.
  • Delivery management.
  • Reviews.
  • Customer support.
  • Dispute reporting mechanisms.

XpertOne is not:

  • The employer of Experts.
  • A professional licensing authority.
  • An educational institution.
  • A hospital.
  • A law firm.
  • A financial advisory firm.
  • A government authority.
  • A counseling center.
  • A certification authority.
  • A guarantee provider.

Experts operate independently and remain solely responsible for the services they provide.


11.3 Private Nature of Sessions

Once a session begins, it is intended to be a private interaction between the participating User and Expert (or authorized participants in an approved group session).

XpertOne does not routinely:

  • Join private sessions.
  • Monitor conversations.
  • Listen to discussions.
  • Supervise communications.
  • Control the advice provided.
  • Direct Expert responses.
  • Participate in decision-making during sessions.

Accordingly, the statements, recommendations, advice, opinions, demonstrations, explanations, or guidance provided during a session belong solely to the participating Expert.

Likewise, the conduct, statements, questions, actions, or decisions of the User remain the User’s own responsibility.


11.4 No Responsibility for Professional Opinions

The Platform does not independently verify every opinion, recommendation, interpretation, explanation, diagnosis, forecast, prediction, strategy, conclusion, suggestion, or statement made during a session.

Experts remain solely responsible for the professional or personal guidance they voluntarily provide.

Users remain solely responsible for evaluating, accepting, rejecting, implementing, or relying upon any advice received.

XpertOne does not guarantee that advice provided by any Expert will be:

  • Accurate.
  • Complete.
  • Suitable.
  • Effective.
  • Lawful in every jurisdiction.
  • Error-free.
  • Appropriate for every User.
  • Free from differing professional opinions.

11.5 Meeting Technology

Sessions are conducted using online meeting technology integrated with or supported by the Platform.

The availability, uptime, technical quality, audio quality, video quality, internet performance, latency, bandwidth, device compatibility, software compatibility, or functionality of the meeting technology may depend upon multiple factors beyond XpertOne’s reasonable control.

Temporary interruptions, delays, connection failures, or technical issues may occasionally occur.


11.6 Meeting Access

Meeting access information is generated solely for booked sessions.

Users and Experts are responsible for protecting their meeting access information.

Participants should not intentionally provide meeting access to unauthorized individuals unless expressly permitted for the relevant booking.

Unauthorized access may result in suspension of accounts, cancellation of bookings, investigation, or other appropriate action.


11.7 Meeting Recordings

Where recording functionality is available, Users and Experts may record sessions without obtaining separate permission from the other participant, subject to applicable law.

By participating in a session through XpertOne, you acknowledge and agree that the session may be recorded by any participant.

Any person choosing to record a session assumes full responsibility for complying with:

  • Privacy laws.
  • Data protection laws.
  • Intellectual property laws.
  • Confidentiality obligations.
  • Court orders.
  • Other applicable legal requirements.

XpertOne is not responsible for recordings made independently by Users or Experts.


11.8 Platform Recording

As of the Effective Date of this Privacy Policy, XpertOne does not routinely record private sessions conducted between Users and Experts.

However, XpertOne reserves the right to introduce optional or mandatory recording features in the future where reasonably necessary for:

  • Quality assurance.
  • Fraud prevention.
  • Dispute resolution.
  • Legal compliance.
  • Platform security.
  • User safety.
  • Service improvement.

If Platform-managed recording practices materially change, this Privacy Policy and other applicable policies may be updated accordingly.


11.9 Deliverables

Certain Expert listings include Deliverables.

Deliverables may include, depending upon the listing:

  • Notes.
  • Written summaries.
  • Session reports.
  • Action plans.
  • Review documents.
  • Feedback reports.
  • Edited files.
  • Guidance documents.
  • Customized documents.
  • Other listing-specific materials.

A screenshot or other reasonable evidence demonstrating that the scheduled online session took place may also form part of the completion records maintained for the booking.

The exact Deliverables are determined by the Expert’s published listing and the options selected during booking.


11.10 Intellectual Property in Deliverables

Unless otherwise expressly stated in the applicable listing or required by law, Deliverables remain protected by applicable intellectual property laws.

Users receive a personal, limited, non-exclusive right to use Deliverables solely for their own lawful personal or internal business purposes relating to the booked session.

Except where expressly permitted by the Expert or required by law, Users shall not:

  • Publish Deliverables.
  • Sell Deliverables.
  • Redistribute Deliverables.
  • Upload Deliverables to public platforms.
  • Commercially exploit Deliverables.
  • Remove copyright notices.
  • Misrepresent authorship.
  • Modify and republish Deliverables as their own work.

Any unauthorized use may result in legal action, suspension of Platform access, or other remedies available under applicable law.


11.11 Confidentiality During Sessions

Participants should exercise reasonable care before sharing:

  • Financial information.
  • Government identification numbers.
  • Banking credentials.
  • Passwords.
  • One-time passwords (OTPs).
  • Medical records.
  • Confidential business information.
  • Trade secrets.
  • Proprietary source code.
  • Other sensitive information.

XpertOne cannot guarantee how another participant may subsequently use voluntarily disclosed information.

Users and Experts remain responsible for deciding what information they choose to disclose during sessions.


11.12 Standards of Conduct

All participants are expected to conduct themselves respectfully and professionally.

The following conduct is prohibited, including but not limited to:

  • Harassment.
  • Threats.
  • Hate speech.
  • Discrimination.
  • Intimidation.
  • Extortion.
  • Fraud.
  • Blackmail.
  • Sexual harassment.
  • Stalking.
  • Distribution of malware.
  • Impersonation.
  • Criminal activity.
  • Recording for unlawful purposes.
  • Sharing illegal content.
  • Deliberate disruption of sessions.

Violations may result in warnings, suspension, permanent removal from the Platform, reporting to competent authorities, or any other action permitted by applicable law.


11.13 Reporting Misconduct

If a User or Expert believes misconduct occurred during a session, they may report the matter to XpertOne together with any available supporting evidence.

Supporting evidence may include:

  • Screenshots.
  • Session recordings.
  • Messages.
  • Emails.
  • Booking information.
  • Order references.
  • Payment references.
  • Other relevant documentation.

XpertOne may review submitted information and determine whether administrative action is appropriate under Platform policies.


11.14 Platform Assistance During Disputes

Where disputes arise between Users and Experts, XpertOne may assist by:

  • Reviewing booking records.
  • Reviewing order history.
  • Reviewing payment records.
  • Reviewing Platform communications.
  • Reviewing voluntarily submitted evidence.
  • Reviewing operational logs.
  • Facilitating communication where appropriate.

However, XpertOne is not:

  • A court.
  • An arbitrator.
  • A mediator required by law.
  • A legal representative.
  • A police authority.
  • A forensic investigator.

XpertOne does not undertake to prosecute claims, recover damages, or represent Users or Experts in legal proceedings.

Where legally permissible, XpertOne may cooperate with competent authorities and provide information required by law.


11.15 No Guarantee of Outcomes

Because each session depends upon numerous factors outside the Platform’s control, XpertOne does not guarantee:

  • Learning outcomes.
  • Business success.
  • Financial gains.
  • Employment.
  • Admissions.
  • Examination results.
  • Health improvements.
  • Legal outcomes.
  • Spiritual outcomes.
  • Personal development outcomes.
  • Relationship outcomes.
  • Technical success.
  • Any other specific result.

The Platform facilitates access to Experts—it does not guarantee the success or effectiveness of any session.


11.16 Future Improvements

As XpertOne evolves, additional session features may be introduced, including enhanced scheduling tools, collaboration features, accessibility improvements, communication tools, AI-assisted functionality, quality assurance mechanisms, safety features, or other operational enhancements.

The introduction, modification, or discontinuation of such features may occur at any time in accordance with applicable law and updated Platform policies.

12. Payments, Escrow, Refunds, Cancellations, Payouts, Taxes, and Financial Compliance

12.1 General Principles

XpertOne operates a managed marketplace payment system designed to facilitate secure transactions between Users and Experts.

The Platform collects payments from Users, temporarily holds eligible funds in accordance with Platform procedures, and releases payments to Experts after the applicable order completion requirements have been satisfied.

Payment processing is intended solely to facilitate marketplace transactions and should not be interpreted as creating an employment, agency, partnership, fiduciary, joint venture, or similar legal relationship between XpertOne and any Expert.


12.2 Payment Collection

At the time of booking, Users may be required to make payment through payment methods supported by XpertOne.

Payments may include:

  • Service charges.
  • Platform fees.
  • Taxes where applicable.
  • Processing charges where applicable.
  • Other lawful charges disclosed during checkout.

A booking is not considered fully confirmed until successful payment authorization or payment confirmation has been received where required.

Failure of payment authorization may result in cancellation of the booking request or order.


12.3 Authorized Payment Providers

To facilitate payments, XpertOne currently utilizes an authorized third-party payment gateway for payment acceptance.

As the Platform evolves, XpertOne may integrate additional payment service providers, banks, financial institutions, wallet providers, UPI providers, card processors, escrow partners, or other authorized payment infrastructure.

Payment service providers operate under their own:

  • Privacy Policies.
  • Terms of Service.
  • Regulatory obligations.
  • Security requirements.
  • Banking rules.
  • Financial compliance obligations.

Users are encouraged to review the applicable legal documentation of the payment providers used during transactions.


12.4 Escrow Arrangement

Following successful payment, the payment amount is generally retained by XpertOne under its marketplace payment process until the booked service progresses through the applicable order completion workflow.

During this period:

  • The User receives the booked session.
  • The Expert provides the agreed service.
  • Deliverables, where applicable, are submitted.
  • The User completes the order process.

Funds are not ordinarily released to the Expert immediately upon payment by the User.

This process is intended to support marketplace integrity, service completion, dispute management, fraud prevention, and operational security.


12.5 Order Completion

An order is generally considered completed after the applicable Platform completion workflow has been satisfied.

This may include, where applicable:

  • Completion of the scheduled session.
  • Submission of the selected Deliverables.
  • Opportunity for User review.
  • User confirmation of completion through the Platform.

Once an order reaches completed status, the corresponding payment may become eligible for Expert payout, subject to this Privacy Policy, the Terms of Service, applicable law, fraud reviews, payment provider requirements, security reviews, or other legitimate operational considerations.


12.6 Expert Payout Eligibility

Completed orders may become eligible for payout to the Expert after successful completion of the applicable order workflow.

To support operational continuity and marketplace administration, XpertOne currently maintains a minimum balance requirement.

Accordingly:

  • Experts may request payout of eligible available earnings exceeding ₹500.
  • A minimum balance of ₹500 may remain within the Expert account until additional eligible earnings become available or Platform policies are updated.

XpertOne reserves the right to revise payout thresholds, reserve amounts, payout frequencies, payout methods, payout schedules, or other payout procedures at any time.


12.7 Payout Processing

Where an Expert submits a valid payout request and all applicable requirements have been satisfied, XpertOne generally endeavors to initiate payout processing within approximately 36 hours.

Actual receipt of funds may vary depending upon:

  • Banking systems.
  • UPI networks.
  • Payment providers.
  • Weekends.
  • Public holidays.
  • Regulatory reviews.
  • Security verification.
  • Technical maintenance.
  • Network interruptions.
  • Circumstances beyond XpertOne’s reasonable control.

The stated processing period represents an operational target and should not be interpreted as a guaranteed settlement deadline.


12.8 Administrative Holds

To protect Users, Experts, payment systems, and the integrity of the Platform, XpertOne reserves the right to temporarily delay, suspend, or place an administrative hold on:

  • Payments.
  • Refunds.
  • Expert payouts.
  • Bookings.
  • Orders.
  • Deliverables.
  • Accounts.

Such action may be taken where XpertOne reasonably believes it is necessary, including but not limited to situations involving:

  • Suspected fraud.
  • Identity verification.
  • Payment disputes.
  • Chargeback investigations.
  • Policy violations.
  • Suspicious transactions.
  • Regulatory compliance.
  • Court orders.
  • Law enforcement requests.
  • Cybersecurity incidents.
  • Marketplace abuse.
  • Technical investigations.
  • Operational risk assessments.

Administrative holds may remain in place until the relevant investigation, verification, or legal process has concluded.


12.9 User Cancellation Policy

Users may cancel eligible bookings in accordance with Platform policies.

Unless otherwise specified for a particular listing or required by applicable law:

  • Users may cancel a booking and request a refund up to one (1) hour before the scheduled session start time.
  • If the scheduled booking itself was created within one (1) hour before the session start time, cancellation functionality may not be available.
  • Once the one-hour cancellation window has passed, refunds are ordinarily not available solely because the User chooses not to attend the session.

Different cancellation rules may apply where required by law or expressly stated within a specific listing.


12.10 Expert Rejection of Booking Requests

Booking requests submitted by Users are subject to Expert acceptance.

Experts may accept or reject booking requests before payment is completed.

If a booking request is rejected:

  • The booking request expires.
  • No service obligation arises.
  • No order is created.
  • No Expert payout becomes payable.

12.11 Refund Eligibility

Refunds are not automatic.

Subject to applicable law, Users may become eligible for refunds in circumstances including:

  • Eligible cancellation within the permitted cancellation window.
  • Failure of the Expert to attend the scheduled session without an acceptable Platform-recognized reason.
  • Failure of the booked session to occur due to circumstances determined by XpertOne to warrant a refund.
  • Duplicate payments.
  • Incorrect payment collection.
  • Other circumstances expressly approved by XpertOne.

Refund eligibility is determined after review of the available information.


12.12 Situations Where Refunds May Be Refused

Subject to applicable consumer protection laws, refunds may be declined in situations including:

  • User non-attendance.
  • User delay.
  • User device problems.
  • User internet failures.
  • User refusal to participate.
  • Expiration of the cancellation period.
  • Dissatisfaction with professional opinions alone.
  • Change of personal preference after service delivery.
  • Misuse of Platform policies.
  • Fraudulent refund requests.
  • Other circumstances where Platform policies or applicable law do not require a refund.

Each matter may be reviewed individually based on the available evidence.


12.13 Coupons and Promotional Offers

XpertOne may issue promotional codes, discount coupons, credits, referral benefits, campaign incentives, or similar promotional benefits.

Unless otherwise specified:

  • Coupons have no cash value.
  • Coupons may expire.
  • Coupons may be subject to usage restrictions.
  • Coupons may be withdrawn at any time.
  • Coupons may not be transferable.
  • Coupons may be revoked in cases of fraud or abuse.

Improper use of promotional benefits may result in cancellation of discounts, suspension of accounts, or other administrative action.


12.14 Taxes

Prices displayed on the Platform may be subject to applicable taxes imposed under relevant laws.

Where legally required:

  • Applicable taxes may be added during checkout.
  • Tax invoices may be issued where appropriate.
  • Tax reporting obligations may be fulfilled.
  • Experts remain responsible for their own independent tax obligations arising from earnings received through the Platform unless otherwise required by law.

Nothing in this Privacy Policy constitutes tax advice.

Users and Experts should consult qualified tax professionals regarding their own tax responsibilities.


12.15 Financial Records

XpertOne may retain financial information reasonably necessary for:

  • Accounting.
  • Auditing.
  • Regulatory compliance.
  • Fraud prevention.
  • Financial reconciliation.
  • Taxation.
  • Business administration.
  • Legal compliance.

Certain transaction identifiers, payment references, order identifiers, payout records, and related financial information may therefore be retained beyond account deletion where permitted or required by applicable law.


12.16 Chargebacks and Payment Disputes

If a payment is disputed, reversed, charged back, or otherwise challenged through a financial institution or payment provider, XpertOne reserves the right to:

  • Review the relevant transaction.
  • Request supporting documentation.
  • Suspend payouts.
  • Place administrative holds.
  • Recover improperly paid amounts where legally permitted.
  • Cooperate with payment providers.
  • Cooperate with competent authorities.
  • Take reasonable action necessary to protect the Platform and affected parties.

Experts and Users agree to cooperate in good faith during such reviews.


12.17 Future Payment Features

As the Platform expands, XpertOne may introduce additional payment-related functionality including:

  • Additional payment methods.
  • Installment payments.
  • Wallet functionality.
  • Subscription billing.
  • Membership plans.
  • International payments.
  • Multi-currency support.
  • Enhanced escrow services.
  • Automated invoicing.
  • Recurring billing.
  • Additional payout methods.
  • Additional financial compliance procedures.

Any material changes affecting financial processing or Personal Data will be reflected through updates to this Privacy Policy and other applicable Platform policies where required by law.


12.18 Reservation of Financial Rights

To the fullest extent permitted by applicable law, XpertOne reserves the right to:

  • Verify transactions.
  • Request additional documentation.
  • Delay settlements where reasonably necessary.
  • Restrict suspicious transactions.
  • Reverse erroneous credits.
  • Correct accounting errors.
  • Prevent financial abuse.
  • Enforce Platform payment policies.
  • Comply with judicial, regulatory, banking, or governmental requirements.
  • Modify payment procedures, payout policies, reserve requirements, refund workflows, settlement mechanisms, and financial controls as business operations, technology, or applicable law evolve.

Such actions will be exercised in good faith and in accordance with applicable law.
